Managing Director, Documents and Contracts Administration- Equipment Finance

ABOUT THE ROLE

A growing specialty finance organization is seeking an experienced documentation professional to lead the execution, closing, and funding of complex commercial finance transactions. This position serves as a key operational partner across underwriting, originations, legal, and finance functions, ensuring transactions are accurately documented, properly perfected, and efficiently funded.

This is an excellent opportunity for a seasoned equipment finance professional who enjoys managing sophisticated transactions, mentoring team members, and working directly with internal and external stakeholders to drive successful deal execution.

The position includes supervisory responsibility for a small documentation team and reports directly to senior legal leadership.




RESPONSIBILITIES
  • Manage the documentation, closing, and funding process for commercial lease and loan transactions from approval through funding.
  • Supervise and develop a team of documentation professionals while establishing best practices and quality standards.
  • Review, prepare, and negotiate transaction documents, including lease agreements, loan agreements, security documents, guaranties, assignments, and related closing documentation.
  • Coordinate with internal departments and outside counsel to ensure all legal, credit, and operational requirements are satisfied prior to funding.
  • Oversee collateral perfection activities, including lien filings, title administration, searches, amendments, waivers, and other secured transaction requirements.
  • Conduct detailed due diligence reviews and ensure all supporting documentation is complete and compliant.
  • Validate funding packages, payment documentation, transaction economics, and closing calculations.
  • Manage multiple transactions simultaneously while maintaining accuracy and meeting critical deadlines.
  • Support amendments, restructurings, payoffs, and portfolio servicing requests throughout the life of financed assets.
  • Maintain organized, audit-ready transaction files and ensure adherence to internal policies and regulatory requirements.

QUALIFICATIONS
  • Bachelor's degree in Business, Finance, Legal Studies, or a related discipline;paralegal certification is a plus.
  • Minimum five years of experience supporting documentation, closing, and funding activities within equipment finance, commercial lending, leasing, or specialty finance.
  • Prior experience within a middle-market commercial finance environment.
  • Strong understanding of secured lending documentation, Uniform Commercial Code requirements, collateral perfection, entity structures, and funding mechanics.
  • Proven ability to oversee complex transactions involving multiple parties and customized financing structures.
  • Experience managing competing priorities in a deadline-driven environment.
  • Excellent communication, organizational, and relationship-management skills.
  • Previous team leadership or supervisory experience preferred.

Preferred Background
  • Experience supporting structured commercial finance transactions and specialized equipment assets.
  • Exposure to sponsor-backed, direct lending, private credit, or institutional finance transactions.
  • Ability to work effectively with internal and external legal counsel on document negotiation and transaction execution.
  • Strong understanding of transaction risk management, documentation controls, and operational best practices.
