Job Overview - M&A Tax Manager - 34461

Our client is seeking an experienced U.S. Federal Tax professional with a strong technical background in Subchapter C, M&A tax, and corporate taxation. This is an opportunity to play a key role in supporting acquisitions, reorganizations, tax planning, and other strategic transactions within a complex corporate environment.

The ideal candidate will bring at least 4 years of combined U.S. M&A tax and federal tax experience gained within a large public accounting firm and/or large multinational corporation. Experience with tax reorganization provisions and consolidated return regulations is highly desirable.

Title and compensation will be commensurate with the candidate's experience.

Key Responsibilities

  • Support M&A tax due diligence, including review and analysis of target-company financial information and tax returns.
  • Evaluate competing acquisition structures and internal restructuring alternatives through tax scenario planning.
  • Perform IRC Section 382 analyses for acquired companies with net operating losses, including calculation of applicable Section 382 limitations.
  • Analyze the tax implications of stock versus asset acquisitions, including related basis and tax calculations.
  • Calculate and analyze inside and outside basis of company-owned subsidiaries and partnerships for taxable and tax-free reorganizations and other tax-planning initiatives.
  • Partner with business unit leaders, legal teams, and other corporate stakeholders on acquisitions, reorganizations, and strategic tax matters.
  • Perform due diligence and related calculations involving IRC Section 332 tax-free liquidations.
  • Perform due diligence and related calculations involving IRC Section 351 tax-free contributions.
  • Determine appropriate income tax disclosures associated with completed transactions.
  • Lead and execute tax projects from initial planning through timely and successful completion.
  • Assist with the review of U.S. federal income tax returns.
  • Conduct tax research and prepare written technical memoranda documenting conclusions and recommendations.
  • Participate in special projects and other strategic tax initiatives as assigned by senior tax leadership.

What We're Looking For

The successful candidate will have:

  • 4+ years of combined U.S. M&A tax and federal tax experience.
  • Strong technical knowledge of U.S. federal corporate taxation and Subchapter C.
  • Experience in a large public accounting firm and/or large multinational corporation.
  • Experience with M&A transactions, corporate reorganizations, and tax planning.
  • Knowledge of IRC Sections 382, 332, and 351.
  • Experience with consolidated return regulations and tax reorganization provisions is a plus.
  • Significant Microsoft Excel experience and strong analytical capabilities.
  • Excellent written and verbal communication skills.

Education & Credentials

  • Bachelor's degree in Accounting or related field required.
  • Master's in Taxation preferred.
  • CPA preferred.
  • J.D. a plus.
