Position Summary

M&A Human Capital Due Diligence Senior Consultant

Our Deloitte Strategy & Transactions team helps guide clients through their most critical moments and transformational initiatives. We offer comprehensive end-to-end support and advisory services, covering areas such as valuation modeling, cost optimization, restructuring, business design and transformation, infrastructure and real estate, mergers and acquisitions (M&A), and sustainability. The team works closely with clients at every stage of their journey, helping them navigate challenges, avoid financial pitfalls, and implement practical solutions before, during, and after major transformational projects or transactions creating lasting impact.

Join our M&A Human Capital Due Diligence team to help clients navigate the people, organization, and workforce implications of complex transactions-where strategic insight can shape deal value from day one. As a Senior Consultant, you'll work alongside experienced deal professionals and senior stakeholders to turn human capital risks and opportunities into actionable recommendations that enable confident decisions.

Work You'll Do

As a Senior Consultant on the M&A Human Capital (HC) Due Diligence (DD) team, you will be responsible for:

  • Deliver Human Capital due diligence engagements that support the development and testing of M&A strategies and deal theses for corporate and private equity clients.
  • Assess workforce, organizational, compensation, benefits, human resources (HR) compliance, labor relations, HR operations and technology, talent, and culture considerations in mergers, acquisitions, and other transactions.
  • Analyze workforce and HR data, financial information, and transaction documents to identify and quantify transaction risks and opportunities.
  • Evaluate HR operating models, workforce structures, and stand-alone costs for integration, separation, and carve-out scenarios.
  • Collaborate with Deloitte workstreams, legal counsel, investment banks, and client HR leaders to develop and communicate diligence findings and recommendations.

The Team

M&A advises corporate and PE clients across inorganic growth/divestiture scenarios through M&A strategy, diligence, integration/separation planning and execution, financial and modeling services, and transaction financing.

Within M&A Consulting, the Transaction Strategy & Diligence (TS&D) team advises corporate and investor clients on strategic choices before, during, and after transactions. The team helps clients evaluate acquisition and divestiture opportunities, assess market and competitive dynamics, test investment theses, and identify value creation opportunities that support informed deal decisions. By combining strategic insight with transaction experience, the team helps clients move from deal ambition to execution with greater confidence. Within TS&D, our M&A Human Capital Due Diligence team helps clients assess the workforce, organization, leadership, culture, and people-related risks and opportunities that can influence transaction value.

Qualifications:

Required:

  • Experience supporting or delivering at least 5 Human Capital M&A projects involving restructuring, enterprise cost reduction, due diligence, transaction-risk assessment, target screening, or integration planning and execution.
  • 4+ years of experience performing Human Capital due diligence and post-deal integration or separation activities, including identifying and quantifying transaction risks and opportunities across compensation, benefits, HR compliance, labor relations, HR communications, HR operations and technology, talent, or culture.
  • Experience reviewing financial statements, trial balance details, government filings, employee census data, employment agreements, collective bargaining agreements (CBAs), and employee benefit and compensation documentation; preparing data request lists and call agendas; and facilitating interviews with target management.
  • Experience conducting compensation benchmarking; individual equity-proceeds analysis, including waterfall analysis or fully diluted share count; benefits comparison and migration-cost analysis; executive compensation reviews; turnover and open-position analysis; HR function stand-alone structure and cost reviews for carve-outs; and employee-related Quality of Earnings and debt-like analyses.
  • Bachelor's degree and 4+ years of consulting or industry experience in financial due diligence, compensation and benefits program design, retirement or health care consulting, HR strategy or operations, or talent solutions; or a Master of Business Administration (MBA) and 2+ years of experience in change management initiatives, communications development, organizational design and development, HR strategy or operations, or talent solutions.
  • Ability to travel 50%, on average, based on the work you do and the clients and industries/sectors you serve.
  • Limited immigration sponsorship may be available.

Preferred:

  • Master of Business Administration (MBA) or graduate degree in Human Resources or Organizational Behavior.
  • Experience supporting workshops, meetings, or presentations for senior leaders.
  • Experience managing project plans and delivering work products by deadlines.
  • Experience using Microsoft PowerPoint, Microsoft Excel, Tableau, or Structured Query Language (SQL) to prepare analyses and reports.

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $128,000 - $252,500
