About the Role
Corporate and Commercial Counsel
About the Role
We're expanding the legal team at Flow, and we''re looking for a Corporate and Commercial Counsel to join us as a true business partner. This is a great opportunity for a corporate lawyer who wants to grow into a generalist role at a venture-backed, high-growth startup. You'll own corporate and commercial work and, from there, you'll also help with operational and advertising compliance, licensing and permitting, risk and disputes, and more.
Responsibilities
What you'll own
Flow's commercial contracting from start to finish: you'll structure, draft, review, analyze, negotiate, and interpret a wide range of commercial agreements, including vendor agreements, construction and design agreements, events agreements and marketing agreements. You'll partner closely with business teams to align legal strategy with business strategy.
Corporate aspects of business transactions, including by drafting corporate consents, post-closing integration, and more
Entity management and governance for Flow's complex corporate structure across U.S. and international subsidiaries, including drafting written consents, officer certificates, board resolutions, managing formations and dissolutions, and maintaining our entity org chart.
Where you'll also help
Licensing and permitting across various U.S. jurisdictions.
Operational legal issues across the business, including lease compliance and property-level matters.
Brand and advertising compliance.
Dispute resolution and litigation docket management.
Other legal workstreams depending on the needs of the team and of Flow - we're a small team and you'll be able to touch all legal aspects of the business.
Ideal background
2-4 years' experience in ECVC or general corporate work in BigLaw, or similar corporate and commercial in-house experience at a high-growth or venture-backed company.
Comfortable with multi-entity corporate structures and subsidiary governance.
AI-native (required): enjoy using AI in creative ways across drafting, contract review, project management.
Wants to own work end-to-end and eager to help build a legal department.
Willingness to roll up sleeves and a can-do attitude - no need to have prior experience with dispute resolution, real estate, or licensing and permitting, but a desire to learn is crucial.
Admitted and in good standing with the state bar in the jurisdiction where the position is based (Florida or New York).
Responsibilities
Where you'll also help
