    Position Summary

    Under the direction of the Assistant General Counsel and Director, Legal Affairs, this role will focus on strategic legal counsel and transactional support to a large, integrated health system. The successful candidate will thrive in a collaborative, high-performing legal department where attorneys work closely together, share expertise, and partner seamlessly with colleagues throughout the organization to achieve business objectives while managing legal risk.

    Essential Responsibilities

    Strategic Transactions and Contracting

    • Serve as lead counsel for a broad range of healthcare transactions and commercial agreements, including mergers, acquisitions, joint ventures, strategic affiliations, physician employment and professional services agreements, and other clinical and operational agreements (including information technology and SaaS agreements).
    • Draft, review, negotiate, and advise on complex contractual arrangements,
    • Provide timely, practical legal advice to executives, operational leaders, physicians, and other stakeholders regarding contractual rights and obligations, regulatory considerations, risk allocation, and dispute resolution.
    • Collaborate with business leaders to structure innovative arrangements that support the health system''s strategic growth and operational priorities.
    • Coordinate and manage legal due diligence and work with internal and external counsel, financial advisors, consultants, and business leaders throughout all phases of strategic transactions.
    • Partner with Contract Specialists and Contract Managers to oversee physician contracting and enterprise contract management processes, including continuous improvement of contract administration systems and electronic databases.

    Healthcare Regulatory Counsel

    • Serve as a key legal resource on healthcare regulatory matters, including fraud and abuse laws (Stark Law and Anti-Kickback Statute), HIPAA, EMTALA, Medicare and Medicaid requirements, licensure, reimbursement, corporate governance, tax-exempt organization issues, pay-to-play requirements, and other federal and state healthcare regulations.
    • Monitor legal and regulatory developments affecting healthcare providers and proactively advise leadership regarding emerging risks and compliance obligations.
    • Conduct legal research and provide practical guidance on complex regulatory issues impacting the health system.

    Organizational Partnership

    • Collaborate closely with colleagues throughout the Legal Department to provide coordinated, responsive legal services across the enterprise.
    • Build strong working relationships with leaders in Finance, Strategy, Compliance, Privacy, Risk Management, Internal Audit, Human Resources, Supply Chain, Information Technology, Clinical Operations, and other functional areas to facilitate sound business decisions and effective risk management.
    • Participate in the development, review, and revision of corporate and clinical policies and prepare informed consents, appearance releases, media consents, and related legal documents.
    • Serve as legal advisor to committees, task forces, and executive work groups as assigned.

    Qualifications:

    Juris Doctorate is required

    Experience:

    10+ years of legal experience with a combination of corporate law, private healthcare practice, and/or in-house counsel roles. The successful candidate has experience leading sophisticated healthcare transactions and serving as a trusted legal advisor to executive leadership and business clients.

    This individual will demonstrate:

    • A proven track record of independently managing complex healthcare transactions from inception through closing, including physician arrangements, joint ventures, strategic affiliations, and a broad range of commercial contracts.
    • Client-facing experience with the ability to build trusted relationships, provide practical business-oriented legal advice, and respond effectively to the needs of senior executives, physicians, and operational leaders.
    • Strong project management skills, including the ability to manage multiple competing priorities, meet demanding deadlines, and successfully coordinate cross-functional teams and outside counsel.
    • Excellent judgment and the ability to balance legal risk with organizational objectives while delivering timely, pragmatic, and solutions-oriented counsel.
    • Outstanding drafting, negotiation, communication, and interpersonal skills, with the confidence to lead negotiations involving sophisticated business and legal issues.
    • A collaborative, team-oriented approach and a genuine interest in partnering with colleagues across the Legal Department and throughout the organization to achieve shared goals.
