Aligned Talent Acquisition is recruiting for an experienced Investment Management Associate Attorney opportunity with a leading Am Law 100 firm in Dallas.

This is an excellent opportunity for a corporate attorney interested in sophisticated investment management, private funds, fund formation, and regulatory matters involving private fund sponsors, investment advisers, institutional investors, and other financial services clients.

Ideal Background

2–6 years of investment management, private funds, fund formation, or related corporate experience

• Experience with the formation, structuring, and operation of private investment funds

• Experience working with private equity funds, hedge funds, credit funds, real estate funds, venture capital funds, or other alternative investment vehicles

• Experience representing fund sponsors, investment advisers, institutional investors, and other investment management clients

• Experience drafting and negotiating limited partnership agreements, operating agreements, private placement memoranda, subscription agreements, side letters, and related fund documentation

• Experience advising clients on investment adviser, securities, and private fund regulatory matters

• Familiarity with the Investment Advisers Act, Investment Company Act, and related securities regulations is a plus

• Experience assisting with fund launches, investor negotiations, ongoing fund operations, and regulatory compliance

• Strong drafting, negotiation, analytical, and problem-solving skills

• Ability to manage multiple sophisticated matters and transactions

• Excellent client service and communication skills

• Strong academic credentials

J.D. from an ABA-accredited law school required

Texas bar admission required or ability to become admitted
