Aligned Talent Acquisition is working with a nationally recognized Am Law firm that is actively seeking a talented Mid-Level Investment Funds Associate Attorney to join its Chicago office.

This is an exciting opportunity for a transactional attorney interested in sophisticated investment fund formation, private equity, and investment management matters.

Qualifications

• Mid-level associate experience in investment funds, private equity fund formation, or investment management.

• Experience structuring, forming, and advising private investment funds and their sponsors.

• Experience drafting and negotiating limited partnership agreements, private placement memoranda, subscription agreements, and related fund documentation.

• Familiarity with private equity funds, venture capital funds, hedge funds, or other alternative investment vehicles.

• Experience advising fund sponsors, investment managers, or institutional investors.

• Strong transactional drafting, negotiation, analytical, and communication skills.

• Ability to manage sophisticated matters and collaborate with clients and deal teams.

The Opportunity

The selected attorney will have opportunities to work on sophisticated investment funds matters, including:

• Private equity and alternative investment fund formation

• Fund structuring, organization, and ongoing operations

• Investment management and sponsor-side counseling

• Limited partner negotiations and investor documentation

• Fundraising and capital commitments

• Co-investment arrangements and secondary transactions

• Advising fund sponsors on complex transactional and regulatory considerations
