About this position
We are searching for a senior attorney for the position of Senior Officer or Lead Officer for the Financial Markets and Products Legal Division (FML) of the Legal Department focusing on the substantive areas referenced below.
Our Legal Department advises Management, the Board of Executive Directors and the Board of Governors on all legal matters relating to IDB Invest. As part of its functions the Legal Department provides a full range of legal support on non-sovereign guaranteed operations throughout the entire transaction cycle including origination, portfolio management and workouts, and the development of new products. Also, we provide legal advice on all institutional and financial matters for IDB Invest including governance, financial management, institutional integrity, and administration of human resources.
What youll do
Your main functions and responsibilities shall include the following, which involve different levels of expertise and complexity depending on your seniority.
Lead the delivery of legal services in FML in connection with private sector and non-sovereign-guaranteed transactions with financial intermediaries and financial markets. Oversee lending and guarantee transactions and technical assistance operations including due diligence, structuring, negotiating, drafting, closing, portfolio administration, workouts and restructurings of these transactions. Certain specialized products in financial markets and corporate transactions will be outside of the scope of responsibility and will be managed by a different team within FML.
Mentor and assess a highly skilled interdisciplinary and multicultural group of attorneys in the delivery of legal services, setting work expectations and goals and providing timely feedback on performance and technical guidance to ensure consistent legal advice to client areas.
In coordination with the Director and the Managing Director for FML, manage relationships with external legal counsel; supervise the selection and activities of external legal counsel retained to support transactions in a cost-effective manner.
Provide legal support for a wide range of legal policy, procedures, administrative and institutional matters related to private sector and non-sovereign guaranteed transactions.
Provide strategic leadership on the formulation and updating of model documentation and other initiatives with a view to enhancing the delivery of legal services on transactions.
Share knowledge within and outside the Legal Department including through the organization of training on a variety of subject matters to support the operational activities and foster the application of best practices.
Work to develop innovative, high-quality and effective legal solutions that meet business needs in a timely manner.
Represent the Legal Department in committees, meetings of the Board of Executive Directors and institutional initiatives.
Cooperate with the other legal teams to ensure consistency in the Departments delivery of legal services.
Cooperate with other departments in IDB Invest and the IDB and leverage opportunities for synergies.
Keep abreast of trends in legal issues and precedents across IDB Invest member countries and make recommendations for standardized approaches and updated strategies.
Establish personal networks within IDB Invest and with external legal counsel and experts. Access and leverage relationships with external resources when appropriate.
Work collaboratively with other attorneys from multilateral development institutions to address broad legal issues affecting all parties.
What youll need
Education Masters Degree in Law (LL.M., Juris Doctor, or equivalent advanced law degree) from an accredited law school in an IDBG member country and admission to practice law in at least one jurisdiction in an IDBG member country.
Experience At least 5 years (8 years preferred) of progressive experience in private cross-border financing transactions, particularly in Latin America and the Caribbean, specialized in supply chain Financing and structured financing or alternatively equity and mezzanine instruments.
Experience acting in a similar senior role in a top-notch NY or English law firm or development bank.
Strong client relationship experience and skills, understanding clients needs and challenges as well as deep knowledge of the legal environments within each of the different countries where IDB Invest conducts business is highly desirable. Substantive legal experience in both common and civil law is essential.
Origination & Management: Structuring complex transactions with a validated track record of working with a broad range of financial instruments and products including equity and mezzanine.
Portfolio Management: Ability to provide comprehensive legal advice on both routine and intricate portfolio matters including the sale and restructuring of transactions while ensuring alignment with organizational objectives.
Language Skills Excellent oral and written professional proficiency in English and Spanish is required. Knowledge of Portuguese and/or French is a plus.
Requirements • Citizenship: Citizenship - No requirements. • Consanguinity: You have no family members up to the fourth degree of consanguinity and second degree of affinity, including spouse, working at the IDB, IDB Invest or IDB Lab.

Type of contract and duration International: International staff contract 36 months initially, renewable upon mutual agreement.
