This role supports our federal line of business, and the successful candidate will bring hands-on federal government contracting experience to a portfolio that includes prime contracts, subcontracts, and government-wide contract vehicles. The ideal candidate must possess excellent communication and organizational skills, as well as a team-oriented attitude with an ability to work across varying levels of the business. This role requires a strong attention to detail and ability to work confidently under pressure. Responsibilities will include, but are not limited to:

  • Drafting, analyzing, revising, and negotiating complex master services agreements, prime contracts, subcontracts, teaming agreements, nondisclosure agreements, task orders, and other related legal documents
  • Reviewing and negotiating the terms and conditions of federal prime contracts and subcontract flow-downs, including FAR, DFARS, and agency supplement clauses
  • Advising internal clients on contract provisions and associated legal matters, including clause applicability and the practical effect of federal terms on delivery and pricing
  • Supporting government-wide vehicles and schedules (e.g., GSA Multiple Award Schedule, GWACs, and agency IDIQs), including modifications, option exercises, sales reporting, and compliance obligations
  • Advising on federal contractor compliance topics such as organizational conflicts of interest, small business subcontracting plans, mandatory disclosure, Service Contract Act wage determinations, and E-Verify
  • Supporting safeguarding and supply chain requirements applicable to federal work, including Controlled Unclassified Information handling under NIST SP 800-171, CMMC, and Section 889 restrictions, in coordination with IT, Security, and the Facility Security Officer
  • Assisting with bid protests, requests for equitable adjustment, claims, terminations, government audits and investigations, and contract closeout
  • Editing legal documents to ensure consistency with company policies and applicable laws and regulations
  • Maintaining accurate database and file records, ensuring compliance
  • Communicating with senior management and sales leaders regarding contract provisions
  • Providing a solution-oriented approach to business contract negotiations
  • Assisting with other legal or litigation matters as they arise
  • Working with fellow Contracts Counsel to develop efficient and effective policies to meet legal and business needs
