FULLY REMOTE - Corporate / M&A Transactional Associate Attorney - 2+Years Exp
A well-established North Carolina business-law boutique is seeking a corporate and transactional associate through an urgent, confidential search. The role may be performed fully remotely.
The Opportunity
The associate will work directly with experienced attorneys and clients on mergers and acquisitions, business formations, governance, commercial contracts, and other transactional matters. The position offers substantive responsibility, mentorship, and exposure to complex work without the layers of a large-firm environment.
What You’ll Do
- Support mergers, acquisitions, dispositions, reorganizations, and other business transactions from diligence through closing.
- Draft and revise purchase agreements, disclosure schedules, ancillary documents, organizational documents, consents, and commercial contracts.
- Conduct due diligence, coordinate closing checklists, maintain deal files, and help manage transaction timelines.
- Research and analyze corporate, contract, and transactional issues and communicate findings clearly.
- Work directly with senior attorneys and clients on entity formation, governance, and general business matters.
- Collaborate with colleagues across corporate, bankruptcy, commercial real estate, healthcare, and litigation practices.
- At least 2 years of corporate and transactional experience; M&A experience is strongly preferred.
- Active North Carolina law license, or ability to become admitted promptly.
- Excellent academic credentials and strong legal research, drafting, analytical, and communication skills.
- Commercial real estate experience is helpful but not required.
- Strong organization, attention to detail, initiative, and ability to manage competing deadlines.
- Ability to work independently and collaboratively in a fully remote environment.
- Fully remote work arrangement with affiliation to the Raleigh or Winston-Salem office.
- Sophisticated matters and direct client responsibility in a collegial, team-oriented boutique setting.
