Role: Senior Counsel-Multifamily Housing Finance & Bond Transactions

Engagement Type: 3-4 months (potential to extend/convert)

Elevate is partnering with its customer, a leading organization in the U.S. housing finance sector that supports liquidity and affordability in multifamily housing through capital markets execution and innovative lending solutions.

We are seeking a Senior Counsel to provide strategic legal leadership on complex multifamily housing finance transactions, with a focus on tax-exempt bond structures and credit enhancement arrangements. This role will serve as a key advisor to business stakeholders, supporting high-value transactions and driving legal excellence in a fast-paced, highly regulated environment.

Key Responsibilities

  • Lead legal support for multifamily housing finance transactions, including those involving tax-exempt bonds and credit enhancement structures
  • Draft, review, and negotiate transaction documents such as loan agreements, disclosure materials, and related financing documentation
  • Advise business teams on complex deal structures, regulatory requirements, and emerging product initiatives
  • Provide strategic legal guidance on multifamily programs, credit risk considerations, and asset management matters
  • Collaborate with internal stakeholders to align legal strategy with business goals and enterprise priorities
  • Support innovative and non-standard transactions, including new product development and structured financing solutions
  • Oversee and manage external counsel, including bond and disclosure counsel, ensuring quality and efficiency
  • Enhance legal processes and workflows to improve execution timelines and operational effectiveness
  • Deliver training and guidance to internal teams and partners on legal structures and compliance considerations

Qualifications

  • Juris Doctor (JD) required
  • 10+ years of experience in multifamily housing finance
  • Experience with multifamily affordable housing finance and related tax-exempt bond transactions, negotiating and drafting loan agreements and other legal documents
  • Experience advising on complex, high-value transactions and regulatory matters
  • Strong business acumen and ability to balance legal risk with business objectives
  • Experience advising a regulated financial institution or government-sponsored enterprise
  • Experience serving as bond credit enhancer's counsel or working as bond, disclosure or underwriter's counsel on municipal bond transactions, including experience with complex deal structures such as variable rate or multi-modal bonds
  • Demonstrated experience leading and managing legal teams
  • Experience managing outside counsel and external stakeholders
  • Experience driving process improvements and operational efficiencies in legal workflows
  • Experience supporting product development and innovation in financial services

Preferred Experience

  • Background serving as counsel on bond transactions (e.g., issuer, underwriter, disclosure, or credit enhancer)
  • Familiarity with complex financing structures such as variable rate or multi-modal bonds
  • Experience contributing to product innovation or structured finance program development
  • Active or prior involvement with professional organizations in the municipal finance or bond law space
