Direct Counsel is seeking an Employee Benefits Associate Attorney to join a prestigious Am Law firm in New York, New York.

This is an exceptional opportunity for an attorney with 3-5 years of transactional experience to join a sophisticated Employee Benefits practice. The team advises clients on executive compensation and employee benefits matters, with a particular focus on mergers and acquisitions, executive compensation arrangements, employment agreements, and related corporate transactions.

Responsibilities
  • Advise clients on executive compensation and employee benefits matters in connection with mergers and acquisitions.

  • Draft, review, and negotiate executive compensation plans, incentive compensation arrangements, and employment agreements.

  • Counsel clients on executive compensation programs and related labor and employment issues.

  • Support corporate transactions by addressing executive compensation and employee benefits considerations.

  • Conduct legal research and provide strategic guidance on employee benefits and executive compensation matters.

  • Collaborate with corporate, labor and employment, and tax attorneys on sophisticated transactional matters.

  • Manage multiple client matters while delivering practical, business-focused legal advice.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in the New York Bar.

  • 3-5 years of experience in executive compensation, employee benefits, or related transactional matters.

  • Experience advising on executive compensation and benefits issues in mergers and acquisitions is preferred.

  • Experience with executive compensation plans, employment agreements, and labor and employment matters.

  • Big Law experience is preferred but not required.

  • Excellent drafting, analytical, negotiation, and communication skills.

  • Strong academic credentials and the ability to manage sophisticated transactional matters.

Compensation & Benefits
  • Salary: $260,000-$390,000, commensurate with experience and qualifications.
