Director, Senior Counsel - Infrastructure Finance

Page Executive is working with a leading global alternative investment manager to identify a Senior Legal Counsel to support its growing private credit and infrastructure debt platform. This is a highly visible role partnering directly with investment professionals across North America and internationally, providing legal and strategic guidance throughout the lifecycle of complex debt investments.

Description

• Lead legal workstreams for private credit and infrastructure debt transactions from diligence through execution, including review and negotiation of transaction documentation, confidentiality agreements, and related commercial arrangements.
• Advise investment teams on legal, regulatory, structural, and commercial risks associated with debt investments and financing transactions.
• Support a broad range of debt strategies, including direct lending, project finance, acquisition finance, private placements, unitranche facilities, syndicated loans, revolving credit facilities, mezzanine financings, and other structured credit transactions.
• Partner closely with investment and asset management teams on amendments, waivers, consents, restructurings, and ongoing portfolio matters.
• Provide legal support for product development initiatives, including fund documentation and investment management arrangements.
• Collaborate with internal stakeholders across investments, investor relations, compliance, operations, and risk management functions.
• Manage and coordinate external counsel and other advisors to ensure efficient execution of transactions and projects.
• Contribute to the development of best practices, legal processes, and knowledge management initiatives within the legal function

Profile

The successful candidate will combine strong technical legal expertise with a commercial mindset and a collaborative approach. They will be comfortable partnering directly with investment professionals, influencing senior stakeholders, and balancing legal risk with business objectives in a dynamic investment platform.

• • JD from top US law school with excellent academic credentials.
  • 7-15+ years of in depth project finance/infrastructure finance experience gained at a top law firm or combined experience at a top law firm and in-house at an investment manager, focused on debt investments.
  • Significant experience advising on finance transactions, including project finance, acquisition finance, infrastructure finance, private credit, leveraged finance, or related debt products.
  • Strong understanding of debt financing structures and associated transaction documentation.
  • Demonstrated commercial judgment and ability to provide practical, business-oriented legal advice.
  • Outstanding drafting, negotiation, and stakeholder management skills.
  • Ability to manage multiple transactions simultaneously in a fast-paced investment environment.
