Corporate & Tax Transactional Attorney

A well-regarded Delaware law firm is growing its business, tax planning, and transactions group and is adding a Corporate & Tax Transactional Attorney. You'd work directly with closely held, family-owned, and owner-operated businesses, professional practices, and entrepreneurs, with plenty of existing work from day one and real client contact early on.

What you'll do

• Handle M&A for closely held businesses, including structuring, due diligence, purchase agreements, and closings
• Form entities and draft LLC operating agreements, bylaws, and shareholder agreements
• Advise clients on business and tax planning, general corporate, and governance matters
• Assist with business succession planning
• Collaborate with the firm's trusts and estates, real estate, and litigation attorneys
• Build relationships in the community, with business development encouraged and rewarded

What you bring

• JD and an active Delaware bar license
• About 4-6 years of corporate and/or tax transactional experience
• Careful drafting paired with sound commercial judgment
• Comfort with tax issues
• Responsiveness with business owners and the ability to manage multiple matters at once
