Corporate Paralegal | Downtown Los Angeles - Hybrid

This is a substantive, high-impact role for a paralegal who thrives in a transactional environment and is ready to take on heavy due diligence work alongside experienced corporate attorneys across a broad range of sophisticated matters.

• Compensation: $100,000 - $140,000 DOE

Your Role on the Team

• Support attorneys across a broad range of transactional and governance matters including M&A, private equity, public and private securities, corporate finance, licensing, and venture capital financing
• Draft and review organizational documents including articles of incorporation and dissolution, stock certificates, and merger agreements
• Draft contracts including noncompete agreements and oversee the full contract process from planning and collaboration through negotiation and execution
• Assist with heavy due diligence, including preparing, reviewing, and commenting on due diligence documents, document inventories, and disclosure schedules
• Prepare and file UCC financing statements and documents with government agencies including the SEC, IRS, and secretaries of state across multiple jurisdictions
