The Opportunity

A well-established and highly respected Bethesda law firm is seeking an experienced Corporate/Transactional Paralegal or Legal Assistant to support its growing Corporate, Business, Commercial Real Estate, and Transactional practices.

This is an excellent opportunity for a highly organized, detail-oriented legal professional who enjoys substantive transactional work and wants to be closely involved in helping attorneys and clients move matters from inception through closing.

The ideal candidate will have experience supporting corporate transactions, entity management, commercial real estate, business matters, or a combination of these areas.

What You'll Do:

Corporate + Business Matters:
  • Form corporations, LLCs, partnerships, and other business entities.
  • Prepare and file formation and annual documents with state agencies and regulatory authorities.
  • Prepare and maintain operating agreements, bylaws, resolutions, meeting minutes, and other corporate governance documents.
  • Maintain corporate records, minute books, entity databases, and compliance calendars.
  • Assist attorneys with ongoing entity maintenance and corporate governance matters.

Transactional + Real Estate Support:
  • Support mergers and acquisitions, financings, restructurings, commercial contracts, commercial leasing, real estate acquisitions and sales, and other business transactions.
  • Prepare, review, proofread, compare, and organize transactional documents.
  • Incorporate handwritten edits and prepare redlines using Microsoft Word Track Changes.
  • Coordinate due diligence and assist with title and survey review.
  • Maintain transaction checklists and critical deadlines.
  • Prepare signature packets, closing deliverables, closing binders, and post-closing documentation.
  • Help keep transactions organized and moving forward from inception through closing.

Client + Administrative Support:
  • Communicate with clients, government agencies, title companies, lenders, surveyors, and other transaction participants.
  • Draft routine correspondence.
  • Manage calendars, deadlines, matter lists, and electronic records.
  • Assist with document preparation, filings, and file organization.
  • Leverage legal technology, including Microsoft Copilot and CoCounsel, to improve efficiency and productivity.

What We're Looking For:

Required:
  • Experience as a corporate, transactional, commercial real estate, business, or similar paralegal/legal assistant.
  • Experience supporting corporate transactions, entity management, or commercial real estate matters.
  • Excellent organizational skills and attention to detail.
  • Ability to manage multiple matters and deadlines simultaneously.
  • Strong written and verbal communication skills.
  • Proficiency with Microsoft Office, particularly Word, Outlook, and Excel.
  • Willingness to learn and utilize AI tools such as Microsoft Copilot and CoCounsel.
  • Ability to work independently while collaborating effectively with attorneys and staff.

Preferred:
  • Paralegal certificate or equivalent combination of education and experience.
  • Law firm or professional services experience.
  • Familiarity with Maryland, Virginia, and Washington, D.C. filing requirements.
  • Experience with commercial leasing or real estate closings.
