    Position Summary

    DwyerOmega is seeking a practical, business-minded Corporate Counsel/Senior Corporate Counsel to join our legal team. This role will serve as a trusted legal advisor to business leaders and cross-functional teams, with primary responsibility for drafting, reviewing, negotiating, and managing a broad range of commercial agreements.

    The ideal candidate will have approximately 5 or more years of relevant legal experience, with significant experience in commercial contracting gained in a law firm, corporate legal department, or a combination of both. This individual should be comfortable working independently, balancing legal risk with business objectives, and providing clear, actionable advice in a fast-paced, high-growth global manufacturing environment.

    Key Responsibilities

    Commercial Contracts

    • Draft, review, negotiate, and advise on a wide variety of domestic and international commercial agreements, including:
    • Customer and supplier agreements
    • Master service agreements
    • Purchase and sale agreements
    • Distribution and channel partner agreements
    • Confidentiality and nondisclosure agreements
    • Professional services and consulting agreements
    • Software, SaaS, technology, and licensing agreements
    • Manufacturing and supply agreements
    • Terms and conditions of purchase and sale
    • Advise business partners on contractual rights, obligations, risks, and practical strategies for resolving contract issues.
    • Lead negotiations with customers, suppliers, vendors, strategic partners, and their legal counsel.
    • Identify material legal and commercial risks and recommend solutions that appropriately balance risk, business needs, and operational realities.
    • Assist with development of and maintaining contract templates, playbooks, standard clauses, and negotiation guidelines to improve consistency and contracting efficiency.
    • Support continuous improvement of contract review, approval, and contract lifecycle management processes.

    Corporate Legal Support

    • Provide day-to-day legal advice to sales, procurement, operations, finance, information technology, human resources, and other business functions.
    • Assist with general corporate matters, including corporate governance, policies, organizational documentation, and related compliance activities.
    • Support acquisitions, divestitures, integrations, and other strategic transactions as needed, including contract due diligence and post-closing integration.
    • Provide guidance on applicable laws and regulations affecting the company's commercial activities.
    • Assist in identifying, assessing, and managing legal and regulatory risk across the organization.
    • Support the development, implementation, and maintenance of corporate policies and compliance initiatives.
    • Assist with disputes, claims, and litigation matters, including coordination with outside counsel when appropriate.
    • Manage outside counsel efficiently when specialized legal expertise is required.
    • Perform other legal responsibilities and strategic projects as assigned.

    Requirements

    Qualifications

    Required

    • Juris Doctor (J.D.) degree from an accredited law school.
    • Active membership in good standing in at least 1 U.S. state bar.
    • Approximately 5+ years of relevant legal experience, preferably involving significant commercial contracting responsibilities.
    • Strong experience drafting and negotiating complex business-to-business commercial agreements.
    • Demonstrated ability to independently identify legal issues, assess risk, and develop practical solutions.
    • Strong written and verbal communication skills, with the ability to explain legal concepts clearly to non-lawyers.
    • Sound judgment and the ability to balance legal considerations with commercial objectives.
    • Strong organizational skills and the ability to manage multiple priorities and deadlines.
    • Collaborative approach and demonstrated ability to build effective relationships across functions and levels of an organization.
    • High degree of integrity, professionalism, discretion, and accountability.

    Preferred

    • Prior in-house corporate legal experience.
    • Experience supporting manufacturing, industrial, technology, instrumentation, or other product-based businesses.
    • Experience with international commercial transactions.
    • Familiarity with intellectual property, data privacy, cybersecurity, employment, competition, or regulatory matters as they arise in commercial agreements.
    • Experience implementing or improving contract templates, contracting processes, or contract lifecycle management systems.
