The Role

The Corporate Counsel position is responsible, under the guidance of Department of Legal Affairs (DLA) Leadership, for providing valued, strategic, and practical legal advice and support for Providence St. Joseph Health ("Providence") across two core areas: transactions and contracting. The position will have meaningful responsibility for both healthcare transactions and system-wide contracting matters. Transactional work includes supporting joint ventures, affiliations, partnerships, divestitures, internal reorganizations, and other strategic transactions, including diligence, drafting, negotiation, issue resolution, approvals, and execution. Contracting work includes drafting, reviewing, negotiating, and advising on complex commercial agreements, as well as supporting contracting strategies, templates, playbooks, and processes that promote consistency and efficiency across Providence.

What You'll Do

  • Support healthcare transactions, including joint ventures, affiliations, partnerships, divestitures, internal reorganizations, and select M&A matters, through diligence, drafting, negotiation, issue identification, risk assessment, approval processes, and execution.

  • Coordinate with lead attorneys, business owners, finance, operations, compliance, and outside counsel on transaction workstreams, including diligence requests, document review, issue lists, governance questions, closing deliverables, and post-closing transition matters.

  • Draft, review, negotiate, and advise on complex commercial agreements and contracting matters across Providence, including agreements that support enterprise, operational, technology, supply chain, clinical, and strategic business needs.

  • Support contracting strategy and infrastructure, including development and maintenance of templates, negotiation guidance, playbooks, intake practices, and workflows to improve consistency, efficiency, and scalability in contract review.

  • Provide counsel related to regulatory compliance as it impacts contracting and transactions.

  • Identify, assess, and manage legal and business risks associated with enterprise contracts and transactions; provide practical, risk-balanced guidance to business partners.

  • Help ensure contracting and transactional activities comply with applicable healthcare laws and regulations, including the Stark Law, Anti-Kickback Statute, HIPAA, and fraud and abuse laws.

  • Work closely with internal stakeholders, including supply chain, finance, operations, IS/IT, and compliance, to align contracting strategy with business objectives and support execution of prioritized enterprise initiatives.

  • Collaborate within DLA to deliver practical, timely, and coordinated legal support for both contracting and transaction matters, ensuring legal resources are aligned with business priorities, transaction timelines, and system-wide contracting needs.

  • Provide valued, strategic, timely, and effective support to internal stakeholders by responding to business partner needs and offering practical solutions to complex contracting and transactional issues.

  • Function independently with respect to highly complex enterprise commercial agreements and supported healthcare transactions.

  • Assume responsibility for administrative functions within DLA, as assigned.

What You'll Bring

Education & Credentials

  • Juris Doctor degree from an accredited law school, or the equivalent.

  • Active admission and license to practice law in either California, Oregon or Washington.

Experience & Expertise

  • At least 7-10 years of relevant experience, with meaningful experience in both commercial contracting and healthcare transactions preferred.

  • Strong proficiency in drafting and negotiating complex commercial agreements and experience supporting healthcare transactions, including joint ventures, strategic alliances, affiliations, divestitures, or internal reorganizations.

  • Experience with entity formation, corporate finance, health care organizations, for-profit as well as non-profit transactions preferred.

Professional & Leadership Capabilities

  • Strong drafting, negotiation and analytic skills.

  • Ability to recognize and weigh business and legal risks, think strategically and advance practical solutions.

  • Ability to provide sound and practical advice on legal and business matters in a complex, fast-paced environment to a broad range of business teams.

  • Superior drafting skills, especially the ability to draft contract language that is clear, concise, and easily understood, creating templates and processes to improve efficiency of the contract review process.

  • Superior communication skills in both written and verbal presentation, including all aspects of legal writing technique and procedure, and the ability to convey complex legal concepts to non-lawyers.

  • Ability to function effectively and complete projects in a timely manner in a fast-paced environment.

The full pay range is listed in accordance with applicable law. Final compensation will be determined based on qualifications, experience, organizational compensation alignment, and the approved hiring department budget for the position. This position may also be eligible for incentive compensation and benefits.

Further, we want our leaders to live in or near the communities we serve. Therefore, leaders applying for this role will be required to work a hybrid schedule, which consists ofthree days onsite, two days remote and live within a reasonable commuting distance to the ministry or service area they support and lead.
