Our Corporate Affairs department is seeking an on-site experienced corporate attorney for our growing team. Corporate Affairs acts as in-house counsel for Medpace, and its domestic and international subsidiaries. Areas of legal practice include (but are not limited to) commercial transactions, corporate compliance, global privacy, governance, employment matters, litigation, and other areas as assigned.
Responsibilities :Commercial Transactions: Review, draft, and negotiate domestic and foreign agreements, including and commercial and vendor agreements, and SaaS / technology licenses. Manage third-party contracting process and workflows.
Compliance & Governance: Assist legal team in drafting and updating corporate compliance policies and SOP’s. Serve as a point of contact for matters of global privacy and data protection. Advise management on corporate policies, bylaws, and resolutions.
Regulatory Monitoring: Monitor changes in local, state, federal, and foreign laws and regulations, including government contracting, and advise management accordingly.
Risk Management: Identify potential legal and business risks in operations, strategic planning, and business development activities. Escalate legal risks to members of management, along with recommendations for resolution.
Outside Counsel Management: Identify appropriate outside counsel and oversee/coordinate outsourced legal work;
Cross-Functional Support: Provide or arrange for legal services for enterprise-wide or entity-wide scope support and administrative functions.
Education: Juris Doctorate degree from an accredited law school.
Bar Admission: Licensed in Ohio or eligible to become licensed.
Experience: 3-5 years of relevant experience at a law firm or in-house, or a combination of both.
Knowledge in contracts, corporate law, compliance, governance, collections, and general litigation.
Excellent negotiation, drafting, analytical, and interpersonal skills.
Ability to explain complex legal concepts in clear, business-friendly terms.
Self-starter who takes the initiative and is comfortable interacting cross-functionally as part of a team.
Demonstrated ability to manage multiple priorities and meet deadlines.
