This position will require some onsite work in Renton/Seattle, WA, Irvine, CA or Portland, OR.
The Corporate Counsel position is responsible, under the guidance of Department of Legal Affairs (DLA) Leadership, for providing valued, strategic, and practical legal advice and support for Providence St. Joseph Health ("Providence") with a primary focus on system-wide contracting initiatives and enterprise commercial agreements, including development of contracting strategies, templates, playbooks, and processes that enable consistent and scalable contracting across the organization. Secondarily, the role supports a defined portfolio of healthcare transactions, including select joint ventures, affiliations, divestitures, and other strategic arrangements, as assigned.
KEY POSITION RESPONSIBILITIES:
Draft, review, negotiate, and advise on system-wide commercial agreements and contracting matters, including development and maintenance of standard templates, negotiation guidance, and playbooks to support consistent contracting across Providence.
Partner with internal stakeholders to improve contracting intake, triage, workflows, and processes; help streamline contract review and approval and support scalable delivery of legal services.
Provide counsel related to regulatory compliance as it impacts contracting and transactions.
Identify, assess, and manage legal and business risks associated with enterprise contracts and transactions; provide practical, risk-balanced guidance to business partners.
Help ensure contracting and transactional activities comply with applicable healthcare laws and regulations, including the Stark Law, Anti-Kickback Statute, HIPAA, and fraud and abuse laws.
Work closely with internal stakeholders, including supply chain, finance, operations, IS/IT, and compliance, to align contracting strategy with business objectives and support execution of prioritized enterprise initiatives.
Support lead transactional attorneys and internal business teams on a defined set of healthcare transactions (e.g., joint ventures, affiliations, partnerships, divestitures, and select M&A), including drafting, negotiation, and project support.
Assist with and conduct legal due diligence in connection with supported corporate transactions, as assigned.
Collaborate within DLA to streamline the delivery of legal services; provide consistent, effective legal advice; and manage legal resources in support of system-wide contracting priorities.
Provide valued, strategic, timely, and effective support to internal stakeholders by responding to business partner needs and offering practical solutions to complex contracting and transactional issues.
Function independently with respect to highly complex enterprise commercial agreements and supported healthcare transactions.
Assumes responsibility for administrative functions within DLA, as assigned.
QUALIFICATIONS AND EXPERIENCE
Juris Doctor degree from an accredited law school, or the equivalent.
Active admission and license to practice law in either California or Washington.
8 years of relevant experience (some law firm experience is a plus) with a focus on transaction, commercial contracting, and healthcare-related matters preferred.
Strong proficiency in drafting and negotiating complex commercial agreements; experience supporting healthcare transactions (e.g., joint ventures, strategic alliances, and internal reorganizations) is a plus.
Experience with entity formation, corporate finance, health care organizations, for-profit as well as non-profit transactions preferred.
Strong drafting, negotiation and analytic skills.
Ability to recognize and weigh business and legal risks, think strategically and advance practical solutions.
Ability to provide sound and practical advice on legal and business matters in a complex, fast-paced environment to a broad range of business teams.
Superior drafting skills, especially the ability to draft contract language that is clear, concise, and easily understood, creating templates and processes to improve efficiency of the contract review process.
Superior communication skills in both written and verbal presentation, including all aspects of legal writing technique and procedure, and the ability to convey complex legal concepts to non-lawyers.
Ability to function effectively and complete projects in a timely manner in a fast-paced environment.

The successful candidate's placement on the wage range for this position will be determined based upon relevant job experience and other applicable factors.
