    Job Summary

    JM Test Systems is seeking a detail-oriented and analytical Junior Attorney – MSA Review & Corporate Contracts to support the organization’s contractual and corporate legal operations. In this role, you will independently review, negotiate, and advise on a wide range of commercial agreements, with a strong focus on Master Service Agreements (MSAs). You will work closely with internal stakeholders to provide legal guidance, manage contractual risk, and support compliance initiatives while utilizing AI-enabled legal tools to improve efficiency and contract analysis.     What You’ll Do:

    1. Contract Review & Administration:

    • Independently review, analyze, negotiate, and provide legal guidance on MSAs and related agreements
    • Draft, revise, and manage amendments, addenda, and supporting contractual documents
    • Utilize AI-enabled legal tools for clause identification, contract comparisons, summarization, and risk analysis while applying independent legal judgment to validate outputs
    • Provide legal support for NDAs, marketing agreements, independent contractor agreements, employment agreements, and non-compete agreements
    • Manage the full contract lifecycle including intake, review, execution, renewals, and version control
    • Complete vendor forms and customer questionnaires required for onboarding
    • Coordinate customer certificate of insurance requests with insurance providers to ensure compliance with contractual language
    • Collaborate with Sales and Contract Management teams regarding pricing structures and contract documentation

    2. Legal Collaboration & Risk Management:

    • Serve as a primary legal resource for internal stakeholders by providing legal summaries, compliance recommendations, and contract risk assessments
    • Lead and participate in contract negotiations, including drafting and managing redlines and coordinating approvals
    • Support ethics and compliance initiatives related to contractual obligations, data governance, and regulatory requirements

    3. Corporate Governance & Compliance Support:

    • Draft, review, and advise on corporate governance documents for corporations, LLCs, and partnerships
    • Support entity formations, business filings, and ongoing compliance requirements
    • Assist with licensing renewals and maintenance of corporate registrations
    • Research and advise management on legislative and regulatory developments impacting business operations

    4. Document & Data Management:

    • Maintain organized and accurate contract records in compliance with legal and company standards
    • Manage customer contract records throughout drafting, execution, renewal, and closeout stages
    • Utilize contract lifecycle management systems, virtual data rooms, and AI-enabled platforms to organize and secure legal documentation
    • Ensure documentation is accessible for audits, due diligence, and internal reviews
    • Support customer onboarding documentation and compliance requests

    What We’re Looking For

    • Juris Doctor (J.D.) from an ABA-accredited law school required
    • Active bar admission or eligibility to sit for the bar exam required
    • 0–3 years of experience in commercial contracts, MSA review, drafting, or negotiation (preferred)
    • Strong understanding of contract law principles, commercial transactions, and corporate legal practices
    • Experience or familiarity with AI-assisted legal review and contract analysis platforms (preferred)
    • Ability to independently analyze AI-generated legal insights and apply sound legal judgment
    • Strong analytical, organizational, and problem-solving skills
    • Excellent written and verbal communication skills
    • Ability to manage multiple priorities in a fast-paced environment
    • Proficiency in Microsoft Office Suite and familiarity with contract management systems (preferred)
    • Experience with virtual data rooms and legal technology platforms is a plus
