Position Overview
We are partnered with a well-established San Francisco law firm seeking a Corporate Associate Attorney with 2–5 years of experience in corporate transactions, mergers and acquisitions, and securities law for a partnership-track opportunity. This position offers the chance to work on sophisticated transactional matters for a diverse client base, including emerging growth companies, private investment funds, and established businesses. The ideal candidate will have a strong academic background, exceptional drafting skills, and experience handling complex corporate transactions.
Key Responsibilities
Draft, review, and negotiate transaction documents for mergers, acquisitions, and other corporate transactions.
Advise clients on corporate governance, securities law compliance, and general corporate matters.
Represent emerging growth companies throughout their business lifecycle, including entity formation, financing, and strategic transactions.
Assist with the formation and representation of private investment funds.
Handle intellectual property transactional matters and commercial agreements.
Collaborate with partners and clients on sophisticated corporate counseling and transactional matters.
Qualifications
J.D. from a top ABA-accredited law school with a strong academic record.
Active membership in the California Bar.
2–5 years of corporate transactional, M&A, and securities law experience.
Experience drafting and negotiating complex transaction documents.
Excellent legal writing, analytical, and communication skills.
Ability to manage multiple matters in a collaborative, client-focused environment.
Benefits
Salary range of $230,000–$310,000, depending on experience and qualifications.
