Corporate Attorney (Business & Tax)

A well-established and highly respected boutique law firm is seeking a Corporate Attorney (5–7+ years) to join its growing Business practice.

This is an outstanding opportunity to work with sophisticated business owners, closely held companies, family offices, and entrepreneurs on complex corporate transactions, business structuring, and tax-driven planning. The ideal candidate will enjoy working directly with clients and serving as a trusted business advisor in a collaborative, team-oriented environment. The firm's business practice includes entity formation and restructuring, mergers and acquisitions, executive compensation, succession planning, and other significant corporate transactions.

Responsibilities

• Advise clients on a wide variety of corporate and business matters
• Draft, review, and negotiate sophisticated transactional documents and commercial agreements
• Counsel clients on business entity formation, governance, restructurings, and corporate transactions
• Support mergers, acquisitions, and other strategic business transactions
• Partner with clients and their advisors to develop practical, tax-efficient business solutions

Qualifications

• 5–7+ years of corporate transactional experience
• Strong drafting and contract negotiation skills
• Experience handling sophisticated business transactions
• Strong tax background preferred, including an LL.M. in Taxation, prior tax law practice, or experience with a major CPA/public accounting firm
• Excellent analytical, writing, and client communication skills
• Active member of the Florida Bar in good standing
