Corporate Associate

We are working with a highly regarded, sophisticated regional law firm seeking a Corporate Associate to join its Boston, Stamford, New Haven, or New York office. This is an outstanding opportunity for a transactional attorney looking to build a long-term career within a collaborative and entrepreneurial corporate practice that handles sophisticated matters for emerging companies, institutional investors, established businesses, and innovative growth-stage enterprises.

Associates are given substantial hands-on experience and direct client exposure while working closely with experienced corporate attorneys on complex transactions.

The ideal candidate will have at least 3 years of law firm transactional experience, including substantial experience drafting and negotiating sophisticated corporate transaction documents. Experience with venture capital transactions and/or mergers and acquisitions is required.

Representative matters may include:

• Venture capital and growth equity financings
• Mergers and acquisitions
• Strategic investments and exits
• Formation and structuring matters for emerging companies and investors
• Corporate governance and general corporate counseling
• Commercial and transactional agreement drafting and negotiation

Experience with securities law compliance and corporate governance matters is strongly preferred.

• Strong drafting, negotiation, and analytical skills
• Excellent written and verbal communication abilities
• Strong attention to detail and sound business judgment
• The ability to independently manage transactional matters while working collaboratively within a team environment
• Excellent academic credentials
• A proactive and client-focused approach to legal practice
• Admission in good standing in the jurisdiction where the candidate intends to practice

Compensation is highly competitive, with an anticipated base salary range of approximately $180,000 to $260,000, depending on office location, experience, and other relevant factors.
