Description

Responsibilities include:

  • Contract reviews - review and revise contracts improving or eliminating exposure, review project insurance and surety requirements and deliver certificates of insurance and bonds, lien waivers, support the completion and submission of vendor approval documentation, assist with completing and maintaining standards for non-disclosure/confidentiality agreements through review and negotiation thereof, maintain framing agreements and customer supply agreements. Manage applicable document records.
  • Contract support—negotiate (as necessary) contract terms, and give operational guidance based on contract requirements.
  • Contract/Compliance – coordinate contractual standards and initiatives through coordination with Compliance group, including certain supply chain and data privacy requirements and participate in documentation of contract deviations with legal counsel and/or executive management.
  • Policy writing - creation and development of written policies and procedures in support of establishing standard terms and conditions for company transactions (including sales and protection of proprietary rights).
  • Research and support for duties as assigned by the BII Chief Legal Officer (as related to related duties of position).

Knowledge, Skills and Abilities:

  • Work from headquarters office as a standard (e.g., unless on assignment or extenuating circumstances).
  • Certified Paralegal or Legal Specialist or equivalent experience in contract analysis.
  • BA or BS degree or higher--preferred.
  • Experience with contract law and legal compliance.
  • 2-3 years of legal experience in support of contract review or manufacturing operations.
  • Manufacturing or industrial/construction supply background--preferred.
  • Knowledge of current and emerging developments and trends in sales contracts--preferred.

Competency 1 – Must be organized, detail-oriented and able to effectively manage multiple competing priorities, including working independently and presenting management with measurable progress and status of tasks.

Competency 2 – Able to read lengthy contract and legal documents with proficiency and able to interpret and communicate requirements in a clear and concise manner (both oral and written).

Competency 3 – Ability to apply discretion and reason in consideration of business operations (with a high level of ethical and legal integrity in exercising independent judgment).

Competency 4 – Strong interpersonal skills to successfully engage necessary personnel at all organizational levels.

Experience
