Commercial Technology Counsel

Location: Overland Park, KS
Work Arrangement: Fully In-Office
Position Type: Full-Time
Compensation: Base salary up to $170,000, depending on experience and subject-matter expertise, plus an annual management bonus targeted at 8% of annualized salary, based on company performance and departmental OKRs.

The Opportunity

A growing software company is seeking a Commercial Technology Counsel to lead its day-to-day legal function and support complex customer contracting.

This is not a generalist position for someone who has occasionally handled software agreements. The organization is looking for an attorney with substantive commercial technology contracting experience who genuinely enjoys this work and wants to build their career around SaaS agreements, customer negotiations, data use, privacy, accessibility, and emerging technology issues.

You will serve as the company’s senior internal legal resource, working alongside a paralegal and directly with Sales, Finance, Product, Security, Operations, and executive leadership.

Rather than operating at a distance from the business, you will be embedded with the commercial team and involved throughout the sales cycle, from identifying contractual issues and structuring the deal through negotiation and final execution.

Core Responsibilities

  • Lead the drafting, review, and negotiation of sophisticated commercial technology agreements.
  • Support customer transactions throughout the complete sales and contracting process.
  • Advise Sales and business leadership on contract strategy, risk allocation, and practical paths to closing.
  • Negotiate software licensing agreements, API terms, MSAs, DPAs, professional services agreements, order forms, amendments, and AI-related provisions.
  • Provide legal guidance concerning privacy, data use, intellectual property, accessibility, information security, and regulatory requirements.
  • Support customer contracting involving higher education institutions, public entities, and other organizations with complex procurement processes.
  • Develop and improve contracting templates, fallback provisions, approval workflows, and negotiation playbooks.
  • Oversee the contract lifecycle, including intake, negotiation, execution, amendment, renewal, and termination.
  • Collaborate with Product, Security, Finance, Operations, and leadership on strategic initiatives and evolving technology issues.
  • Help establish practical and scalable legal processes as the organization continues to grow.

Required Qualifications

The following qualifications are central to the role:

  • Juris Doctor and active Bar membership in good standing.
  • At least four years of relevant legal experience.
  • Significant experience negotiating commercial software and SaaS agreements.
  • Hands-on experience with software licensing agreements, API agreements, MSAs, DPAs, professional services agreements, and related commercial documents.
  • Experience advising on privacy, data protection, technology licensing, and intellectual property issues.
  • Working knowledge of FERPA, GDPR, state privacy laws, and WCAG accessibility requirements.
  • Experience supporting sophisticated customer procurement and contracting processes.
  • Strong commercial judgment and the ability to provide practical, business-oriented advice.
  • A genuine interest in focusing on commercial technology contracting as a primary area of practice.

Candidates with more than 10+ years of experience are welcome to apply, provided their compensation expectations align with the position.

Preferred Experience

  • Higher education or public-sector contracting
  • AI-related agreements and data governance
  • Contract Lifecycle Management systems
  • TxRAMP, FedRAMP-aligned requirements, or similar security frameworks
  • Experience working directly with sales teams in a revenue-generating environment
