Job Summary
Our Real Estate Funds Practice Group, of the Asset Management group, is seeking a senior associate to work alongside partners and lead teams in fundraising activities for real estate funds. Candidates must have a minimum of 5 years of extensive experience advising on the structuring, formation, and management of open-end and closed-end real estate fund products, including co-investment vehicles and other real estate investment products. Candidates should also have experience representing real estate fund sponsors and investors in legal, regulatory, and transactional matters.
Duties/Responsibilities
The associate in this position will be expected to:
- Represent real estate fund sponsors and investors in transactions and negotiations.
- Advise clients on the formation, structuring, and management of open-end and closed-end real estate funds.
- Lead teams during fundraising processes for real estate funds.
- Draft, review, and negotiate fund offering documents, partnership agreements, side letters, and co-investment vehicle documents.
- Conduct legal research and analyze regulatory requirements affecting real estate funds and related products.
- Coordinate with clients, investors, and service providers to facilitate fund closings.
- Prepare and review disclosure documents and investor communications.
- Support due diligence processes for real estate acquisitions and investments.
- Identify and resolve legal issues related to fund operations, management, and investor relations.
- Monitor changes in laws and regulations affecting real estate funds, co-investment vehicles, and real estate products.
- Use AI technologies responsibly and ethically to enhance legal research and document review.
- Work with colleagues in tax, real estate, finance, and regulatory practices, supervises junior team members, and help partners maintain existing client relationships.
Required Skills/Abilities
- A Juris Doctor degree from an accredited law school.
- Currently admitted to practice law in Washington, D.C.
- Minimum of 5 years of experience practicing at a global law firm, with a focus on real estate funds, co-investment vehicles, and real estate investment products.
- Proven experience working with open-end and closed-end fund structures.
- Experience representing real estate fund sponsors and investors.
- Strong knowledge of real estate fund structures, securities laws, and regulatory frameworks.
- Proven ability to draft and negotiate complex legal documents.
- Proficiency in using AI technologies responsibly and ethically.
- High attention to detail and organizational skills.
- Ability to manage multiple projects and meet deadlines.
- Willingness and ability to lead and mentor junior associates.
- Aspiration to help partners maintain existing client relationships and develop into trusted advisors to those clients.
