Description

Overview:

This position is for a transactional attorney with 2+ years of experience to join its expanding business. The role requires practical, timely advice on a broad spectrum of legal issues such as contract negotiation and drafting, counseling our business colleagues on contract compliance and risks, drafting and maintaining cor-porate governance documents and policies, and any other topics needed by the business. The new hire will be part of a successful legal team, reporting to the Senior Counsel, Complex Transactions, and will use their legal skills to contribute to the operations of the business.

 

This position requires working on site in our Somerset, NJ location on Tuesday and Thursday.

Responsibilities:
  • Prepare, negotiate, review, and revise diverse contracts
  • Counsel business stakeholders throughout the transaction negotiation and contracting process for various types of transactions.
  • Assist with merger and acquisition due diligence, transaction schedules, and related M&A
  • Develop and maintain policies and playbook for certain common or recurring transactions
  • Draft and maintain corporate governance documents and
  • Lead internal projects and initiatives related to corporate governance, contracting processes, and other
  • Be able to weigh legal risk against business needs and realities, including demonstrating sound business and legal judgment.
  • Be comfortable and efficient in a fast-paced
  • Display the highest level of ethical conduct and
  • Develop creative and compliant solutions to assist in resolving complicated
  • May perform other miscellaneous tasks/projects as directed by
Qualifications:
  • A law degree from an accredited S. Law School and a member of the PA, NJ or NY bar.
  • Have a minimum of 2 years of experience as a corporate lawyer or transactional law generalist handling a broad spectrum of legal issues at a law firm and/or a similar in-house environment.
  • Must have high energy, be engaged and demonstrate that candidate is a hands-on attorney, proactive and innovative in counseling and transactions practice.
  • A keen ability to provide practical advice by weighing legal risk against business needs and realities.
  • Must be comfortable and efficient in a high paced environment.
  • Must be hardworking, team-oriented and possess the ability to think creatively and efficiently in resolving business issues.
  • Must make decisions based on sound judgment and display the highest level of ethical conduct and integrity.
  • Health care industry background is preferred, but not required.

    The pay range for this position is expected to be between $104,000 and $116,000 annual; however, while the salary range is effective as of the date of this posting, fluctuations in the job market may necessitate adjustments to pay ranges. Further, final pay determinations will depend on various factors, including but not limited to experience level, knowledge, skills, and abilities. The total compensation package for this position may also include other elements, such as bonus, commissions, or discretionary awards in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered.
