Description
Reporting to the General Counsel, the
Associate General Counsel provides legal advice and support on a wide range of issues affecting the organization, including corporate governance, contracts, employment law, regulatory compliance, litigation, and risk management. This role identifies and analyzes legal issues, drafts key documents, presents clear recommendations to top management, and helps ensure legal compliance.
The
Associate General Counsel assists in the preparation, review, and negotiation of documents for complex transactions, oversees litigation, and supports complex commercial transactions and intellectual property matters. This position works closely with internal stakeholders and external counsel to protect the organization's legal and business interests.
Competencies- Juris Doctor (J.D.) degree from an accredited law school
- Admission to the bar and in good standing in at least one U.S. jurisdiction
- 5–10 years of legal experience, with a combination of law firm and in-house counsel roles preferred
Experience providing legal support in one or more of the following areas:- Corporate governance
- Contract law and negotiations
- Employment law and HR compliance
- Litigation management
- Regulatory and compliance matters
- Intellectual property
- Privacy and data security (e.g., GDPR, CCPA)
- Environmental and zoning matters
- Strong legal research, analytical, and writing skills
- Understanding of corporate structure and business operations across a multi-site organization
- Strong verbal and written communication skills
- Ability to effectively communicate complex legal issues to non-legal stakeholders
- Collaborative mindset and ability to work cross-functionally with diverse teams
Responsibilities- Provide strategic legal counsel to internal business units on day-to-day operations and long-term projects
- Draft, review, and negotiate a broad range of commercial agreements, including vendor contracts, licensing agreements, NDAs, and service agreements
- Support compliance initiatives, including data privacy, corporate governance, and regulatory reporting
- Assist with litigation management, including coordination with outside counsel, case strategy, and discovery
- Advise on employment-related legal matters, including hiring practices, internal investigations, and compliance with labor laws
- Monitor changes in laws and regulations, and provide proactive legal guidance on potential impacts to the business
- Conduct internal training on legal topics such as contract law, ethics, and regulatory compliance
- Represent the organization in legal proceedings, regulatory inquiries, or administrative hearings when necessary
- Collaborate with outside counsel to ensure quality, cost-effective legal services
