Job Description

Advise clients on executive compensation and benefits-related legal matters.

Draft and review compensation and benefits documentation, including equity plans and employment agreements.

Support clients in compliance with applicable federal and state laws, including tax and securities regulations.

Collaborate with internal teams and external stakeholders to deliver legal solutions tailored to client needs.

Provide guidance on the design and implementation of compensation structures and benefit plans.

Assist in due diligence and integration processes for mergers and acquisitions.

Conduct research and analysis to stay updated on legal developments impacting executive compensation and benefits.

Deliver presentations and training sessions to clients on relevant legal issues.

The Successful Applicant

A successful candidate should have:

Juris Doctor (J.D.) degree from an accredited law school

Admitted to practice law in the relevant jurisdiction or eligible for prompt admission

2-6 years of experience advising on executive compensation and employee benefits matters in M&A transactions

Strong knowledge of relevant laws and regulations

Excellent analytical skills and strong attention to detail

Ability to work independently and as part of a collaborative team

Experience using legal AI tools is advantageous
