Overview:

Serve as a key legal advisor and strategic business partner supporting the organization’s contracting and commercial transaction needs. Assist Senior Counsel in overseeing the full contract lifecycle management process, including contract drafting, review, negotiation, execution, compliance, and risk mitigation. Provide practical, business-oriented legal guidance that balances operational objectives with risk mitigation while supporting company growth, innovation, and strategic initiatives. Collaborate cross-functionally with internal stakeholders to streamline contracting processes, improve efficiencies, maintain governance standards, and ensure compliance with applicable laws, regulations, and company policies.

Responsibilities:

1. Draft, review, negotiate, and finalize a high volume and broad range of commercial agreements, and ensure alignment with company objectives (including contract life cycle administration), legal standards, and compliance/regulatory obligations, along with a consistent company-wide approach to transaction standards and governance.
2. Identify, assess, monitor and communicate legal, financial, operational, cybersecurity, data privacy, and compliance risks associated with company contracts, operations and other risk exposures, and provide practical, business-forward recommendations to mitigate exposure while supporting operational needs.
3. Serve as a trusted legal partner to internal business units including IT, Procurement, Human Resources, Finance, Operations, Marketing, and other departments by providing timely legal counsel and clear guidance on contractual and business matters.
4. Support strategic business initiatives, including mergers, acquisitions, partnerships, technology implementations, and other corporate transactions by conducting legal due diligence, reviewing transactional documents, and identifying potential liabilities or contractual obligations.
5. Collaborate with Senior Counsel to continuously improve legal operations, contracting processes, and risk management practices by identifying process improvement opportunities, implementing best practices, and leveraging technology solutions where appropriate.
6. Provide guidance, mentorship, and work direction to Staff Counsels, paralegals, and other support personnel as assigned, including prioritization of workload, development opportunities, and oversight of delegated legal tasks.
7. Support dispute prevention and resolution efforts related to contractual matters by assisting with issue analysis, interpretation of contract terms, and coordination with internal stakeholders and outside counsel when necessary.

Qualifications:

(Equivalent combinations of education, licenses, certifications, and/or experience may be considered)


Education
• Juris Doctor (JD) from an accredited law school required.


Experience
• Minimum 3 years of experience practicing business law, commercial transactions, contract law, or related legal disciplines required.
• Experience drafting and negotiating commercial agreements in a corporate legal department or law firm environment preferred.
• Experience supporting technology, procurement, data privacy, or operational contracting functions preferred.


Licenses/Certifications
• Active license to practice law in at least one state within the Sheetz operating area, with the ability to obtain Pennsylvania licensure within one year of hire required
