Job Description:

An established, full-service New York law firm with a substantial corporate trust and financial institutions practice is seeking a mid- to senior-level attorney to join its growing team.

The practice represents financial institutions serving as trustees, agents and fiduciaries in domestic and cross-border financing transactions. This opportunity offers direct client contact, close collaboration with partners and exposure to a broad range of sophisticated securities and finance matters.

About the Role

The position primarily focuses on new transactions, including drafting and negotiating transaction documents, coordinating closings, and handling amendments and supplemental agreements. Defaults, workouts and restructurings represent a small portion of the anticipated workload.

Depending on experience and practice needs, transactions may include:

• Corporate and municipal bond financings.
• Rule 144A and Regulation S offerings.
• Trust Indenture Act-qualified transactions.
• Asset-backed and mortgage-backed securitizations.
• Secured and high-yield debt transactions.
• Project finance and cross-border financings.
• Insurance-linked products and third-party agency appointments.

Responsibilities

• Draft, review and negotiate indentures, credit agreements, trust agreements, collateral agency agreements, security agreements and related transaction documents.
• Review offering materials and documentation addressing the rights and obligations of trustees, agents and other transaction participants.
• Prepare and negotiate amendments, supplements and ancillary agreements.
• Coordinate transaction requirements and assist partners with closings.
• Communicate directly with institutional clients, opposing counsel and other transaction parties.
• Manage multiple matters while maintaining accuracy, responsiveness and attention to deadlines.

Qualifications

• J.D. from an accredited law school and admission to practice in New York, in good standing.
• At least three years of relevant corporate trust, securities, structured finance, banking or related transactional experience.
• Strong drafting, document review and negotiation skills.
• Ability to analyze complex financing documents and identify issues affecting institutional clients.
• Strong organization, judgment and written and verbal communication skills.
• Ability to work independently and collaboratively with multiple partners.

Relevant Backgrounds

Direct experience representing corporate trustees or agents is valuable but is not required. Attorneys with related securities, debt finance, capital markets or other relevant transactional experience are encouraged to apply.

Candidates from both large firms and smaller specialized practices will be considered. Relevant deal experience and substantive responsibility are more important than firm size.
