This role offers a dynamic environment for an experienced legal professional to handle a variety of corporate transactions, particularly technology services deals, while contributing to commercial contract negotiations and corporate governance matters.

In this role, you will
Contract Drafting, Review & Negotiation - Technology Services, Insurance Solutions, and Vendor
Working directly with business partners, Own and manage all aspects of technology contracts including, for example, drafting, redlining, responding to redlines, and negotiating Master Service Agreements (MSAs), Statements of Work (SOWs), software-as-a-service (SaaS) contracts, Service Level Agreements (SLAs) and licensing agreements. While this role will focus primarily on revenue generating contracts for ReSource Pro's Technology Services, Counsel will also own responsibility for the entire lifecycle of revenue generating contracts for ReSource Pro's Insurance Solutions products, as well as vendor-facing agreements.
Counsel will be responsible for evaluating and resolving issues/questions, including evaluating which business leaders/stakeholders are impacted, and consulting with them on relevant items, and escalating complex issues/questions to the Associate General Counsel for input.
Responsibilities will also include assisting Associate General Counsel and General Counsel in developing new and non-standard agreements, managing multiple agreement iterations, and making final language determinations for non-standard agreements. Ability to collaborate with business stakeholders to develop contracts that meet client needs while maintaining integrity of ReSource Pro's interests is of paramount importance.
Risk Management
Identify and assess potential legal risks associated with all assignments and projects with which the Assistant General Counsel is involved. Provide recommendations on risk mitigation. Escalate risk-related issues to the Associate General Counsel and/or SVP, General Counsel, as appropriate.
Legal Research
Stay abreast of relevant laws and regulations.
Perform legal research as assigned by Associate General Counsel or SVP, General Counsel.
Performs a variety of legal assignments requiring the study and analysis of complex legal questions, problems, or cases.

Our salary ranges are based on paying competitively for our size and industry and are one part of the total compensation package that also includes annual bonus eligibility, benefits, and other opportunities at ReSource Pro. Individual pay decisions are based on a number of factors, including qualifications for the role, experience level, skillset, geography, and balancing internal equity relative to other ReSource Pro employees. This is a remote position and the salary range for most locations for this role is $110.611,000 - $187,510 annually. The salary range may vary based on the specific geographic location in which the candidate resides.
