Overview:
The Assistant General Counsel - Commercial Law will serve as a senior legal leader and trusted advisor to Lutron’s business leaders on commercial, contract, employment, litigation, and general business counseling matters. In this role, you will provide practical, business-focused legal guidance that enables commercial execution while appropriately managing legal, enterprise, and operational risk.
You will make a visible impact by partnering across commercial, operational, financial, technology, HR, information security, and executive teams. The successful candidate will bring seasoned commercial judgment, critical thinking, a strategic perspective, and a systems mindset to build practical, repeatable ways of working across a global, technology-driven manufacturing business.
Responsibilities:
Commercial and Contract Law
- Serve as a legal advisor for complex commercial and contract matters across sales, professional services, procurement, and strategic customer or supplier relationships.
- Draft, review, negotiate, and interpret commercial agreements, including customer, supplier, manufacturing, distribution, channel, technology, software/SaaS, cloud services, licensing, professional services, ordering documents, SOWs, amendments, and NDAs.
- Advise business leaders on contractual rights, obligations, commercial risk, negotiation strategy, recommended courses of action, and issue escalation.
- Build scalable templates, playbooks, policies, and contracting practices that improve consistency, speed, and business partnership.
Business Counseling
- Provide day-to-day legal counseling to business leaders on commercial, operational, go-to-market, and strategic matters.
- Advise on legal risks associated with new products, technologies, services, partnerships, customer arrangements, supplier relationships, acquisitions, international expansion, and evolving business models.
- Translate complex legal issues into clear guidance that helps teams frame issues, evaluate tradeoffs, and make timely decisions.
- Build trusted relationships with internal clients and serve as a practical, responsive partner to the business.
Employment and Labor Support
- Partner with Human Resources to provide practical legal guidance on employment and labor matters.
- Advise on employment law compliance, employee relations, investigations, performance management, terminations, wage and hour matters, restrictive covenants, and executive employment matters.
- Support international employment questions with local counsel and HR stakeholders.
- Develop guidance, templates, and processes that support consistent employment-related decision-making.
Litigation Support
- Support litigation, disputes, claims and pre-litigation matters with internal stakeholders and outside counsel.
- Assist with matter strategy, fact development, risk assessment, and dispute-related business communications.
- Advise leaders on dispute resolution options, regulatory considerations, and practical mitigation strategies.
- Manage outside counsel relationships and legal spend.
International Commercial Support
- Provide legal guidance supporting commercial and operational matters outside of Asia and India.
- Advise on cross-border commercial agreements, international contracting issues, and risk mitigation.
- Coordinate with regional stakeholders and local counsel to ensure advice is practical, timely, and aligned with business objectives.
- Support global consistency in commercial contracting practices while accounting for local legal requirements.
Leadership and Legal Operations
- Improve legal processes, workflows, templates, playbooks, technology, and tools to support faster, more consistent commercial execution.
- Develop policies, procedures, and best practices that enable business growth while supporting appropriate risk management.
- Lead cross-functional initiatives, promote a collaborative legal culture, and identify interdependencies that improve how legal work gets done.
Qualifications:
Required
- Juris Doctor (J.D.) from an accredited law school and active license to practice law in at least one U.S. jurisdiction and the ability to obtain a license in Pennsylvania.
- Solid foundational legal training, preferably gained through a top-tier or nationally recognized law firm.
- 10+ years of progressively responsible legal experience, including significant experience in commercial transactions, contract negotiation, and business counseling.
- Significant corporate experience in a leadership capacity, including supervising attorneys, paralegals, or legal professionals.
- Experience supporting a technology-oriented business with exposure to manufacturing or industrial environments.
- Demonstrated ability to advise executive leadership and senior business stakeholders on complex legal and commercial issues.
- Strong business acumen and ability to balance legal risk with commercial objectives.
- Excellent drafting, negotiation, communication, presentation, prioritization, and judgment skills.
- Ability to manage multiple complex matters in a fast-paced environment.
- You are authorized to work in the U.S. and will not require Lutron to sponsor you for any work visa, such as an H-1B, either immediately or at any time in the future. Lutron does not offer work visa sponsorship for this position.
Preferred
- Combination of large law firm and in-house legal experience.
- Experience negotiating complex technology, manufacturing, procurement, supplier, customer, distribution, licensing, or services agreements.
- Experience supporting employment, labor, litigation, intellectual property, international commercial matters, and cross-border legal issues.
- Experience building contract templates, negotiation playbooks, scalable legal processes, and managing outside counsel or legal budgets.
- Familiarity with privately held, global, technology, electronics, manufacturing, or industrial companies.
