The Assistant General Counsel - Commercial is part of the Commercial Team of the U.S. Law Department and works closely with the Global Commercial Team and other US Teams (including IP, Litigation, Environmental and Risk Management Teams). The position reports directly to the Associate General Counsel, Commercial. Successful candidate shall provide high quality, cost-effective legal services that minimize the Companys incurrence of liability and ensure that its rights are enforceable by (i) providing advice on the structure and implementation of commercial transactions; (ii) providing advice as to the effect of agreements and rules of law governing such matters; (iii) negotiating and drafting or reviewing such agreements; (iv) advising on antitrust and legal compliance matters; and (v) assisting with risk mitigation, claim analysis, and commercial advice to the various business units and functional departments. Some business travel may be required.

Essential Duties & Responsibilities:
Provide legal support on and review various types of commercial and business contracts for assigned business units (BUs) and functional departments (FDs) as part of the commercial team, including but not limited to NDAs, JDAs, purchase and supply contracts, and distribution, sales representative, private label, tolling, rebate, logistics, software and services agreements (approximately 85%):
Negotiate, draft and advise BUs and FDs on major commercial and capital projects and contracts;
Advise on force majeure, risk management/reporting, product advertising and other commercial law issues, including dispute resolution.
Advise BUs on US antitrust laws and regulations, including pricing matters and competitive contacts.
Handle real estate matters for assigned BUs, including periodic property sales and capital projects.
Assist with Anti-Dumping matters, as needed.
Manage outside counsel where outside expertise is required.
Other Assigned Duties (approximately 15%):
Provide training to the businesses regarding all aspects of contract management, antitrust, and other commercial transactions.
Advise on compliance with various Company policies.
Management of outside counsel and in-house support personnel.
Assist with specialized projects, including M&A, and other duties as needed
