· Experience with Representation & Warranty Insurance (RWI), transactional risk insurance, or M&A transactions preferred.
· Strong understanding of acquisition agreements, representations, warranties, indemnities, and transaction structures.
· Experience reviewing financial statements, due diligence materials, and legal agreements.
· Ability to analyze complex business, financial, legal, and operational risks.
· Knowledge of tax, regulatory, environmental, and political risk considerations.
· Strong negotiation and decision-making skills.
· Excellent analytical, communication, and presentation abilities.

· Develop customized insurance solutions for buyers, sellers, investors, and other transaction participants.
· Review and analyze acquisition agreements, merger documents, financial statements, due diligence reports, and related transaction materials.
· Evaluate transaction parties, operational risks, financial risks, and potential exposures.
· Assess risks related to representations, warranties, covenants, indemnities, tax, regulatory, environmental, political, and market factors.
· Identify potential deal risks including technology changes, market conditions, regulatory issues, and financial concerns.
· Collaborate with business owners, investors, attorneys, finance executives, and transaction advisors.
· Negotiate policy terms including escrow, indemnity, limits, retention, pricing, deductibles, and claims periods.
· Establish appropriate coverage structures, definitions, exclusions, and subrogation provisions.
· Draft insurance proposals, underwriting recommendations, and policy documentation.
· Bind Representation & Warranty insurance policies and manage transaction execution.
· Provide underwriting expertise and guidance throughout the M&A process.
· Partner with legal and finance teams to support complex transactions and risk assessments.
· Maintain strong relationships with clients, brokers, attorneys, and investment professionals.
