• Unintentional and unknown breaches of the representations and warranties made in an acquisition or merger agreement.
• Breach of covenants and special indemnities
• Political, Environmental, Regulatory, Tax, etc. issued.
Activities:
• Work Closely with Owners, Investors, Attorneys, Finance Executives, etc on Projects.
• Review Transaction Agreements, Financial Statements, Due Diligence, Non-Reliance Letters, Operational Risks, Representations, etc.
• Assess Parties to the Transaction
• Identify Anomalous Risks such as Changing Technology & Market Forces, Political, Environmental, Tax & Regulatory, etc.
• Negotiate Escrow, Indemnity, Limit, Retention, Pricing, Claims Period, etc.
• Establish Deductibles
• Specify Definitions and Subrogation
• Draft Proposals & Policy Terms
• Bind Policies
