JOB OVERVIEW:
The Corporate Counsel will serve as a key legal advisor supporting OBB Media's corporate, commercial, and strategic initiatives as the company continues to grow and diversify its business. This role partners closely with C-Suite leadership and cross-functional department heads to provide practical, business-oriented legal guidance across the company's business units.
ESSENTIAL FUNCTIONS:
- Oversees all corporate law matters that typically arise at an entertainment company, including but notlimited to, mergers and acquisitions, joint ventures, financing and debt agreements, venture capital investments and strategic partnerships.
- Lead in-house lawyer negotiating complicated joint ventures and strategic partnerships.
- Work with outside counsel as needed but responsible for driving deals forward working closely alongside C-suite.
- Proactively drive deals forward, preparing and presenting detailed issues list to C-Suite and keeping key stakeholders aware of deal statuses in real time.
- Work with C-Suite as lead in-house lawyer in analyzing and forming new business lines and/or companies which may include other strategic financing partners and/or talent partners, leading the process of negotiating all necessary documentation.
- Work with C-Suite on board-level comms and quarterly meetings alongside COO and CFO to set agendas, prepare documentation, comms/planning and follow-ups.
- Review and negotiate documents relating to potential investments by OBB Ventures, including advisory services agreements on behalf of OBB and talent partners.
- Support M&A, JV and venture due diligence processes including legal, commercial, regulatory, compliance, HR, IT and other related workstreams.
- Lead in-house lawyer responsible for negotiating corporate commercial contracts, including but not limited to, real estate leases for office and studios, software agreements, non-disclosure agreements relating to potential transactions.
- Work with HR, COO and CFO on employment contracts for high-level executives.
- Corporate housekeeping, including tracking and keeping up-to-date: entities/SPV maintenance, recordkeeping/archives, intercompany transactions/considerations, cap table maintenance, and IP matters including registered trademarks and copyrights owned by the company. Advise on corporate structure as it relates to liability, tax implications and general finance and accounting workflow across the organization. International experience is a plus, especially as it relates to understanding tax implications and doing business in foreign jurisdictions.
- Acts as main liaison on behalf of company with external law firms, as needed, for matters relating to M&A, real estate, employment law, trademarks, etc.
QUALIFICATIONS:
- 7+ years working in corporate law with a client base of entertainment companies at either a law firm or in-house.
- JD from a top-tier law school.
- Admitted to CA bar.
- Meticulous attention to detail and strong organizational skills.
- Ability to work proactively across multiple projects in a fast-paced environment and have flexibility and willingness to take on additional projects as necessary.
- Extremely strong written communication skills.
PHYSICAL DEMANDS/WORK REQUIREMENTS:
- Must be able to stand, sit, walk up and down stairs.
- Must be able to work in a seated position for long periods of time.
- Must be able to use fingers, hands and arms at a computer keyboard for long periods of time.
- Must have the ability to speak clearly and distinctly, and hear and be heard and understood in person and by telephone.
- Must be able to reach, bend, stoop, walk up and down stairs and frequently lift up to 30 pounds (and occasionally up to 50 pounds).
- Must be able to visually and physically inspect areas of the work site.
- Must be able to work in a standing and/or walking position for long periods of time.
- Must be able to drive, have reliable transportation, a valid license and valid insurance (mileage is reimbursable).
- Some travel is required for this role. Must be able to travel by car and airplane
COMPENSATION & BENEFITS:
This is an exempt on-site role Monday through Friday, and may require work on weekends occasionally. The hiring range for this position in Los Angeles, CA is $300,000 to $400,000 per year. The base pay actually offered may vary depending on the final candidate's geographic region, job-related knowledge, skills, and experience among other factors.
