Position Summary

The Contract Administrator will provide support to the General Counsel and Corporate Counsel in the following areas: contract administration, coordination, and maintenance, contract drafting and review under supervision of legal counsel, assistance with corporate compliance and corporate governance matters, contract searches and filings, certificate of insurance requests, research and special projects.

Essential Duties and Responsibilities

  • Provide support contract lifecycle management, administer routine contract requirements, and provide contract triaging and assistance with post-execution contract management.
  • Maintain contract management system and records and follow contract processes.
  • Research contract issues under supervision of in-house counsel. Prepare, review, and negotiate various types of agreements, such as confidentiality, consulting, teaming, and subcontract agreements, statements of work, amendments and and other contract documents.
  • Maintain relationships with internal stakeholders and provide support to operations with all steps of the contracting processes.
  • Provide training to operations on the company's contract process.
  • Assist business clients with completion of questionnaires that may be required by client as part of the contracting process.
  • Work closely with operations and in-house counsel to assess and take steps to minimize contracting risks to the organization.
  • Develop legal process improvements and tools, such as workflow automation, checklists, standard operating procedures to improve efficiency of delivery of legal services.
  • Respond to requests for historical data relevant to contracting, which may include active and expired contracts, amendments, extensions, and certificates of insurance.
  • Assist General Counsel with corporate matters, risk management and insurance.
  • Provide litigation support, including file set-up and maintenance.
  • Support record retention processes and administration.
  • Maintain entity compliance with secretary of state offices in states where the company is registered.
  • Manage special projects outsourced to consultants or outside counsel.
  • Undertake other ad hoc projects under supervision of counsel.
  • Transmit legal correspondence.
  • Complete administrative forms and tasks for in-house counsel.
  • Support insurance application process, maintain insurance policy information, and request certificates of insurance.
Position Requirements

Education and Experience
  • Degree or Certification required; Bachelors Degree preferred
  • 3+ years contract administration, contract management, or procurement experience
  • Paralegal certificate preferred but not required

  • Ability to understand general business operations, issues and dynamics beyond the scope of basic legal issues
  • Ability to communicate effectively with members of other departments in order to support their functions as well as to assist them in supporting the legal staff
  • Strong computer skills, including proficiency with Microsoft Office products (Word, SharePoint, PowerPoint & Excel)

  • Willingness to travel up to 5-10%
