Job Description:

The Senior Vice President Compliance and Counsel will work closely with other members of the Risk and Compliance and Legal departments on a variety of corporate, fund and investment-related compliance and legal initiatives.  This role will work in direct support of the Global Chief Compliance Officer and Deputy General Counsel and have broad visibility across the firm, working in partnership and managing relationships with the various internal departments and external service providers.

 

Essential Duties: 

  • Review and advise on corporate documents, private placement memoranda, credit and equity fund formation documents and other related documents in the context of legal analysis and securities compliance.
  • Identify and mitigate potential conflict of interests and legal risks for Affinius and its affiliates with respect to corporate structuring, and constructively advise senior management on effectively managing these risks.
  • Engage with outside counsel, consultants and other external parties as needed to seek guidance and/or execute necessary documentation, reviews, and filings.
  • Review, document, negotiate, and oversee private equity real estate transactions and advise on private securities offerings.
  • Be a key contributor to the day-to-day implementation and operation of the legal and compliance programs in the US and Europe to ensure compliance with applicable laws, rules and regulations.
  • Assess proposed laws and regulations for impact to the business, provide legal advice and develop and implement policies and procedures to address relevant changes.
  • Review marketing and sales materials, investor reports, DDQs, and other intermediary related documents to ensure consistency and compliance with applicable laws and regulations.
  • Help prepare US regulatory reports and filings, including the annual Rule 206(4)-7 reports, and Forms ADV and Form PF.
  • Support and help handle internal corporate reporting, as well as regulatory communications and examinations.
  • Perform other essential duties as assigned.
Requirements:
  • JD degree from an ABA accredited law school, with membership in good standing in the bar of the court of a State, Territory, the District of Columbia or the Commonwealth of Puerto Rico
  • 7+ years of related work experience.
  • Understanding of the private real estate and investment management business, including fundraising, marketing, distribution, credit and equity fund formation, investment and investor reporting.
  • Substantive knowledge of U.S. Securities and Exchange Commission rules and regulations, including the Securities Act of 1933, the Securities Exchange Act of 1934, and the Investment Company and Investment Advisers Acts of 1940.
  • Superior communication (both oral and written) and negotiation skills, with the ability to exhibit initiative and assertiveness in obtaining necessary information.
  • Ability to work independently and within a geographically dispersed team while running multiple sophisticated projects.
  • Ability to think strategically with sharp analytical skills and strong attention to detail and accuracy.
  • Highly effective organizational, prioritization, and time management skills.
  • Ability to exhibit independent judgment when evaluating assignment needs.
  • Ability to work in a fast-paced but collegial manner.
  • Ability to identify and solve sophisticated issues in a team environment working with various levels of management and business partners.
  • Must possess discretion and sensitivity when working with confidential information.
  • Must be willing to work on-site full-time.
