    Description

    HP is seeking a highly motivated Senior Corporate Paralegal to join our in‑house Corporate Legal team, supporting a broad range of Corporate legal matters, including M&A and integrations, securities compliance and corporate governance. The ideal candidate will be a proactive, solutions‑oriented partner to the Corporate Legal team and stakeholders across the company, capable of working both independently and collaboratively on complex assignments with a high degree of expert knowledge, skill, and judgment.ResponsibilitiesSupport M&A transactions, including due diligence, NDAs, closing deliverables, state corporate filings, securities filings, M&A‑related regulatory investigations, and billing and budgeting mattersSupport M&A integration and separation planning activities, including cross‑functional coordination with stakeholders to integrate people, processes, policies, systems, and contractsSupport compliance with M&A and finance covenantsSupport SEC filings, including Forms 10‑Q, 10‑K, 8‑K, proxy statements, and related materialsManage and coordinate NYSE listing standards complianceSupport corporate governance activities, including D&O questionnaire review and data verification requestsPrepare a wide variety of legal filings, reports, and researchAdvise on record retention needs and effortsDevelop trainings, playbooks, and team resourcesEmbrace and adopt AI and other new technologies to drive efficienciesCoordinate legal and internal stakeholder inputReview and coordinate gathering of information, materials, documents, reports, and evidence necessary to respond to due diligence requests related to public and private equity and debt offeringsWork with other members of the Corporate Legal team as well as other company functional departments on special projects and initiativesEducation and Experience RequiredUniversity degree preferredRelevant paralegal certificate preferredNotary Public a plus7+ years experienceKnowledge and SkillsExcellent communication skills, including written communicationExcellent organization, time management, project management, and leadership skillsStrong knowledge of and willingness to learn various state and federal legal requirementsStrong ability to self‑motivate and multitaskExcellent document management skillsStrong proficiency with Microsoft Office applications, Adobe, DocuSign, and AI toolsThis role could be located in Houston, Texas, Vancouver, Washington, and/or Palo Alto, California as a hybrid workstyle.The pay range for this role is $128,000 to $166,000 USD annually, with additional opportunities for pay in the form of bonus and/or equity (applies to United States of America candidates only).
