Doeren Mayhew is seeking an ESOP Advisory Services Senior Associate to support our Employee Stock Ownership Plan (ESOP) team. This role supports a diverse portfolio of clients nationwide and offers significant career growth opportunities within the firm.
The ESOP Analyst will leverage experience in financial modeling, valuation techniques, and ESOP administration to support the firm’s ESOP transaction services. This is a client-facing role focused on executing new ESOP transactions across all phases of the transaction lifecycle, including financial analysis, deal structuring, bank financing, client presentations, and ESOP closings. Over time, the ideal candidate will develop the skills and expertise to independently lead ESOP transactions.
Responsibilities
Develop and analyze financial models to support ESOP feasibility, valuation, and transaction structuring
Apply valuation methodologies including Discounted Cash Flow (DCF), Public Comparables, and Capitalized Earnings to assess company value
Spread and normalize historical financial statements, adjusting for non-recurring or extraordinary items in accordance with GAAP
Perform variance analysis, risk assessments, and forecasting to refine financial projections and transaction assumptions
Prepare clear, professional, and client-ready deliverables that articulate company performance, valuation conclusions, and market trends
Support all phases of ESOP transactions, including coordination with lenders, legal counsel, trustees, and other stakeholders
Partner with legal teams to ensure ESOP transactions align with regulatory requirements and organizational objectives
Collaborate with project managers and senior leadership to maintain efficient workflows, timelines, and information sharing
Leverage valuation expertise across a variety of client engagements supporting ESOP-driven succession planning initiatives
Qualifications
Bachelor’s degree in Finance, Accounting, or a related field
2+ years of experience in ESOP financial feasibility modeling, valuation, or related transaction work
Strong proficiency in financial modeling and valuation methodologies, including DCF analysis
Advanced Microsoft Excel skills and experience with financial analysis tools
Strong analytical skills with exceptional attention to detail
Highly organized with the ability to manage multiple priorities and complex projects in a deadline-driven environment
Excellent written and verbal communication skills, with the ability to explain complex financial concepts clearly to clients and internal stakeholders
Client-centric, team-oriented mindset with strong problem-solving capabilities
Direct experience supporting ESOP transactions, valuations, or related financial engagements preferred
Certified Valuation Analyst (CVA),CFA (Chartered Financial Analyst), CPA (Certified Public Accountant), or equivalent license preferred
Working knowledge of ERISA regulations as they relate to Employee Stock Ownership Plans preferred
Familiarity with ESOP-specific compliance and regulatory requirements preferred
Background in commercial banking, particularly ESOP-related lending and financing structures preferred
