Description
- Draft and negotiate corporate transaction documents, including purchase agreements and shareholder agreements.
- Advise clients on mergers, acquisitions, and other corporate restructuring matters.
- Collaborate with cross-functional teams to ensure compliance with corporate laws and regulations.
- Conduct due diligence and prepare related reports for corporate transactions.
- Provide ongoing support to clients regarding corporate governance and business operations.
- Assist in the formation and structuring of entities, including startups and joint ventures.
- Develop and maintain strong client relationships through effective communication and service delivery.
- Stay updated on developments in corporate law to provide informed advice to clients.
Profile
A successful candidate should have:
- A Juris Doctor (JD) degree from an accredited law school and active bar membership in New York.
- Strong knowledge of corporate law, including mergers, acquisitions, and governance.
- Exceptional legal drafting and negotiation skills.
- The ability to manage multiple priorities and deadlines effectively.
