Position Overview:

We are seeking an M&A Attorney (3+ years) to support a wide range of strategic transactions, including mergers, acquisitions, divestitures, and other corporate matters. This role will work closely with senior leadership, business teams, and external counsel to execute transactions and provide practical legal guidance aligned with business objectives. This role will sit onsite in corporate HQ in Orlando.

 

Our ideal candidate will possess extreme attention to detail, be well versed in M&A strategy, enjoy performing due diligence, and excel in managing mulitple opportunities concurrently.  This is a role where you'll develop under the leadership of our general counsel, who possesses significant expertise in the M&A space.  If you can't help yourself from thinking about deal flow, then we should talk!

Responsibilities:

In this role, you'll have the opportunity to: 

  • Lead and support all phases of M&A transactions, including due diligence, structuring, negotiation, documentation, and closing
  • Draft, review, and negotiate transaction documents (e.g., purchase agreements, NDAs, LOIs)
  • Manage legal due diligence processes and identify risks and mitigation strategies
  • Coordinate with internal stakeholders (finance, tax, HR, operations) and external advisors
  • Provide legal advice on corporate governance, entity structuring, and post-merger integration
  • Support financing transactions and related documentation as needed
  • Oversee and manage outside counsel to ensure efficient and cost-effective service delivery
  • Assist with general corporate matters, including commercial contracts and compliance issues

Qualifications:
  • Juris Doctor (JD) from an accredited law school
  • Active bar membership in good standing
  • 3-5 years of relevant experience in corporate law, with a strong focus on M&A transactions
  • Experience at a top law firm and/or in-house legal department preferred
  • Demonstrated ability to manage multiple transactions simultaneously
  • Demonstrate strong drafting, negotiation, and analytical skills
Preferred Qualifications:
  • Background in the AEC industry
  • Familiarity with cross-border transactions
  • Familiarity with FAR/DFAR and government contracting environments
  • Experience with private equity or strategic acquisitions
Travel Requirements:

This position does not require regular travel as part of its primary responsibilities. Occasional travel may be required (up to 10%) for off-site meetings, training, or company events. Travel, when necessary, will be communicated in advance and aligned with business needs

Physical Demands & Work Environment:
  • This position primarily operates in an office work environment, requiring the ability to perform job responsibilities in an in-person office setting
  • Work is conducted using a computer, phone, and virtual collaboration tools, with regular communication with team members and external stakeholders
  • Employees are expected to manage multiple tasks in a dynamic setting that may involve virtual meetings, deadlines, and independent work
