A bit about us:

Our client is seeking an International Trade Associate to join its New York office. This is an excellent opportunity for an attorney with experience in cross border mergers and acquisitions, trade due diligence, sanctions, export controls, foreign direct investment, and international regulatory matters.

The attorney in this role will advise clients on complex international trade, investment, and regulatory issues involving inbound and outbound investments, global transactions, foreign manufacturing operations, supply chains, and cross border business restructurings.

This position will also support clients in highly regulated sectors, including the space and satellite industry, and will involve work related to International Telecommunication Union regulations and global satellite system projects.

Job Details

The International Trade Associate will:

Advise clients on regulatory aspects of inbound and outbound investments, including trade due diligence for cross border mergers and acquisitions.

Counsel clients on trade related restructuring of foreign manufacturing processes, supply chains, and broader business operations to help mitigate exposure to U.S. duties and tariffs.

Manage and guide cross border legal teams across EMEA and LATAM regions in connection with large scale business spin offs, reorganizations, and international transactions.

Advise clients on sanctions risks related to business activities in Russia and the occupied regions of Ukraine, including analysis of U.S., EU, and Ukrainian sanctions regulations.

Review and analyze counterparty documentation, communications, and jurisdiction specific materials for sanctions and regulatory risk.

Apply transactional and contract law experience to address foreign direct investment considerations in deal documentation.

Advise on export control, technology transfer, and international arrangements such as the Wassenaar Arrangement.

Support clients in the space sector, including work involving global satellite system projects and compliance with International Telecommunication Union regulations.

Advise clients on market entry, licensing requirements, corporate structuring, and legal requirements for conducting business in regulated sectors.

Draft, review, and negotiate transactional documents and corporate documentation related to international business operations.

Qualifications

Candidates must have:

A Juris Doctor or LL.M degree from a U.S. law school.

At least 2 years of experience as an Associate, Junior Associate, or in a related legal role providing guidance on cross border mergers and acquisitions, inbound and outbound investments, and trade due diligence.

Active license to practice law in New York or Washington, D.C.

Required Experience

Candidates must have at least 2 years of experience with:

U.S., EU, and Ukrainian sanctions laws, including compliance issues related to sanctioned territories, particularly temporarily occupied regions of Ukraine.

Managing and guiding cross border legal teams across EMEA and LATAM regions during large scale spin offs and reorganizations.

Cross border M&A transactions, including structuring acquisitions, drafting and negotiating transactional documents, and conducting regulatory due diligence.

Export control, technology transfer, and international arrangements such as the Wassenaar Arrangement.

Supporting clients in the space sector, including global satellite system projects and ITU regulatory compliance.

Advising clients on business structuring, sector specific licensing requirements, market entry, and related corporate documentation.
