In-House Corporate Counsel

ARC Group is seeking an experienced In-House Corporate Counsel to support a large-scale retirement and financial services platform. This role has a primary focus on ERISA and employee benefits compliance, with additional responsibilities in corporate contracts, securities regulation, and investment-related legal matters.
The position offers the opportunity to work in a collaborative in-house legal environment supporting approximately 350,000 members and over $1 billion in assets, while partnering closely with senior legal leadership.
Key Responsibilities
ERISA & Employee Benefits Compliance (Primary Focus)
- Serve as the primary legal resource for ERISA-related matters, including fiduciary duties and plan governance
- Support compliance and administration of 401(k) and retirement plan platforms
- Manage and respond to DOL and IRS inquiries, audits, and regulatory matters
Corporate & Contract Law
- Draft, review, and negotiate corporate contracts, vendor agreements, and related documentation
- Provide legal guidance on commercial agreements and operational matters
Securities & Regulatory Compliance
- Support SEC filings, disclosures, and compliance requirements
- Assist with interpretation of federal securities regulations
Investment & Labor Compliance
- Advise on investment-related legal issues
- Support compliance with Department of Labor (DOL) and IRS regulations
- Assist with labor and employment-related compliance matters
Additional Responsibilities
- Provide legal support for bonus and incentive compensation plans
- Respond to demand letters and other ad hoc legal matters
- Support general corporate legal needs as required
Qualifications
Required:
- Juris Doctor (J.D.) from an accredited law school
- Active license to practice law in at least one U.S. state
- Minimum 5+ years of post-qualification legal experience
- Experience in corporate law, contracts, ERISA/employee benefits, or related areas
- Strong knowledge of ERISA, SEC, DOL, and IRS regulatory frameworks
- Excellent drafting, negotiation, and communication skills
- Ability to work on-site in a collaborative environment
Preferred:
- Prior in-house counsel experience
- Experience with retirement plans, 401(k) platforms, or financial services organizations
- Background in securities, labor/employment, or investment compliance
- Strong business judgment and ability to provide practical legal guidance
