Job Description:
Responsibilities:
Draft, review, and negotiate a high volume of commercial agreements with a focus on procurement agreements, specifically Master Services Agreements (MSAs) and Statements of Work (SOWs) for SaaS and IT.
Act as the dedicated liaison for the NASB Procurement team, as well as take on additional commercial contract matters as needed (i.e., marketing agreements, ad tech agreements, financial agreements).
Collaborate closely with procurement, IT, security and privacy teams to (1) assess vendor risks specifically regarding privacy law, data security requirements, and AI governance in vendor tools, (2) ensure consistent contract standards across the business, and (3) build collaborative processes, policies and playbooks with the goal of refining the procurement process.
Stay up-to-date on the latest developments in laws, regulation and industry trends applicable to digital media and technology platforms.
Work collaboratively across the organization to proactively provide legal guidance and manage legal risks while advancing business goals.
Requirements:
Bachelor’s degree and a Juris Doctorate degree from a U.S. accredited law school. Licensed to practice law in NY.
Minimum 8 years of experience with a law firm or combination of law firm and in-house experience working with internet, technology and/or media companies in the procurement space.
Deep understanding of software licensing (SaaS), services agreements, internet technology and cloud computing technology.
Excellent working knowledge of data privacy laws and emerging AI laws and regulations.
Comfortable with an ever-changing landscape and ability to thrive in a high-pressure, fast-paced environment.
Excellent business and legal judgment, as well as a superior ability to assess risk and determine priorities based on that risk assessment and the needs of the business.
Outstanding organizational skills and ability to manage a high volume of deals simultaneously in a timely manner, prioritizing based on business impact and risk.
Strong negotiation and communication skills (both oral and written). Ability to communicate legal issues in a clear and understandable manner. Inspires trust and confidence through effective communication and interpersonal skills.
Proven ability to quickly understand complex products and services, while identifying key issues and risks and offering creative solutions for business enablement.
