Compensation

$365,000 – $415,000+

A nationally recognized AmLaw 100 firm is seeking a Corporate & Private Equity Senior Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing private equity sponsors, independent sponsors, portfolio companies, founders, and strategic buyers in sophisticated middle-market and large-cap private equity transactions.

Ideal Background

5–7 years of private equity and M&A experience gained at a sophisticated law firm

• Experience representing private equity sponsors, independent sponsors, portfolio companies, founders, family offices, and strategic acquirers

• Experience leading acquisitions, mergers, divestitures, recapitalizations, platform investments, add-on acquisitions, and other complex corporate transactions

• Experience drafting and negotiating purchase agreements, merger agreements, operating agreements, equity investment documents, disclosure schedules, and ancillary transaction documents

• Experience managing legal due diligence, transaction structuring, deal execution, closings, and post-closing matters

• Experience coordinating with lenders, management teams, accountants, investment bankers, and multidisciplinary legal teams throughout the transaction lifecycle

• Experience advising clients on corporate governance, general corporate matters, and strategic business initiatives

• Healthcare private equity and independent sponsor transaction experience is a plus

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to independently lead sophisticated transactions while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required

New York bar admission required or ability to become admitted
