    About the RoleThe Corporate Paralegal plays a critical role in supporting Inland's legal operations by managing corporate entities, maintaining compliance, and assisting with complex transactions across our investment platforms. This position partners closely with attorneys and external partners on high-impact legal matters, including acquisitions, financings, and dispositions.

    Key ResponsibilitiesCorporate Governance & Records

    Maintain minute books and corporate records for Inland's investment entitiesTrack and manage annual reports through Corporate Entity Status DocketsEnsure compliance with corporate governance and regulatory requirements

    Entity Management

    Coordinate formation, qualification, dissolution, and amendments for:

    CorporationsDelaware statutory trusts (DSTs)Qualified Opportunity Funds (QOFs)Limited partnerships (LPs)Limited liability companies (LLCs)

    Manage foreign state qualifications and annual filings

    Transaction Support

    Assist attorneys with due diligence and documentation for:

    Mergers & acquisitionsFinancingsDispositions

    Prepare lender-specific LLC agreements and supporting documentsObtain UCC and related searches

    Document Preparation & Coordination

    Draft officer certificates, resolutions, organizational documents, and operating agreementsCoordinate document distribution to lenders' counsel, outside counsel, and title companies for closings

    Vendor & Stakeholder Management

    Serve as the primary liaison with CT Corporation (registered agent)Collaborate with internal legal teams and external counsel

    Qualifications
