Note: Candidates must have a bachelor's degree and 3+ years of paralegal experience involving transactional and corporate or securities matters. Corporate finance, lending, UCC, and deal closing experience is strongly preferred.

Job Description

  • Manage all aspects of corporate finance and transactional deal support from inception through post-closing
  • Create and maintain closing checklists, organize deal documents, track status updates, and coordinate closing deliverables
  • Draft and prepare transactional documents including resolutions, opinions, allonges, joinders, secretary's certificates, incumbency certificates, and related loan party documents
  • Run, order, review, and summarize UCC, lien, judgment, litigation, bankruptcy, state, and federal searches
  • Prepare and file UCC financing statements, amendments, continuations, terminations, and fixture filings
  • Coordinate signature packets, closing certificates, executed documents, exhibits, schedules, attachments, and final closing sets
  • Manage due diligence materials, good standing certificates, certified charters, IRS forms, W-9 forms, and post-closing follow-up
  • Work closely with attorneys, clients, Corporate Services, Accounting, vendors, service companies, and opposing counsel
  • Support post-closing databases, reminder systems, transmittal letters, document distribution, and closing binder preparation
  • Help identify issues, solve problems, and keep time-sensitive transactions moving smoothly

Qualifications

  • Bachelor's degree required
  • 3+ years of paralegal experience involving transactional and corporate or securities matters required
  • Corporate finance, lending, loan transaction, UCC, and closing experience strongly preferred
  • ABA-approved paralegal certificate preferred
  • Strong research, writing, organization, and document management skills
  • Proficiency with Microsoft Word, Excel, PowerPoint, and general office technology
  • Ability to manage multiple priorities, meet strict deadlines, and work effectively under pressure
  • Willingness and flexibility to work overtime when deal demands require it
